Mergers and Acquisitions Director

**Position Summary**
We are currently seeking a Mergers and Acquisitions Director (M&A) to join our team at Mariani Premier Group. The Mergers and Acquisitions Director will play a critical role within the Corporate Development Team, overseeing all aspects of the acquisition process. This includes primary responsibility for target identification and evaluation, financial analysis, and transaction completion for acquisition-light and tuck-in targets. Additionally, the Mergers and Acquisitions Director will be tasked with managing Mariani's acquisition-light and tuck-in targets, collaborating closely with business unit Presidents to lead acquisition processes. This position will report to the Vice President of Corporate Development and involve close collaboration with stakeholders across the Company.

**Essential Duties And Responsibilities**

The essential functions of this position include, but are not limited to, the following:

- Part of the team that manages the acquisition strategy, execution, and front-end integration process
- Ability to run a full acquisition process from inception to completion, inclusive of offer negotiation, financial review and valuation, diligence, and purchase agreement review and negotiation
- Work with internal resources and operating partners to cultivate and screen acquisition opportunities
- Develop tool sets and processes to improve the efficiency of the acquisition-light process
- Compile and analyze data to evaluate opportunities based on established acquisition criteria
- Build relationships and communicate effectively with owners of target companies
- Create introductory presentations and proposals highlighting the merits of partnering with the buyer
- Coordinate, conduct, review and summarize due diligence results identifying any issues
- Work with internal resources and operating partners to cultivate and screen acquisition opportunities
- Prepare financial and other analyses throughout the acquisition process
- Comfortable presenting diligence findings and acquisition strategy to key stake holders, as well as running and closing a process in a timely manner

**Educational Requirements**
- Bachelor's Degree

**Knowledge And Skill Requirements**
- Bachelor’s degree in Finance, Economics or Accounting, MBA preferred
- Minimum 4 - 5 years of accounting, corporate development, or transaction consulting experience
- Strong interpersonal skills including outstanding written and verbal communications
- Proficiency with Microsoft Office Applications (Excel, PowerPoint, and Word)
- Well organized, paying attention to detail across all deliverables
- Critical thinking and creative problem-solving skills
- Able to manage multiple projects at varying stages of completion
- Experience in financial analysis and modeling, and conducting and coordinating due diligence
- High level of professionalism and integrity, and discretion

**Working Conditions**

Work requires intermittent physical activity including standing, reaching and prolonged periods of sitting and working at a computer terminal. Responsibilities may require evening and weekend work in response to internal and external client needs and deadlines.
