**ABOUT THE ROLE**

The Corporate Paralegal will support the General Counsel and the team as a whole in the day-to-day operations of the Legal and Compliance Team as needed. This role will be part of a team that interacts with each other on a daily basis to ensure all responsibilities of the team are covered.

Primary duties for this position include but may not be limited to assisting with corporate governance, subsidiary management, outside counsel management, and Section 16 reporting. Ancillary duties include general corporate housekeeping matters such as helping manage Legal Tracker electronic billing; preparation for Board meetings; document management and special projects as assigned by the General Counsel or members of the Legal and Compliance Team.

**ESSENTIAL DUTIES & RESPONSIBILITIES**

Ability to work with a diverse team and make the team better overall.

Corporate Governance:

- Prepare for Board and committee meetings, including setting up agendas, preparing and consolidating meeting materials, tracking charter responsibilities, drafting resolutions, managing Board software such as Diligent
- Oversee and assist with the planning and setup of the Annual Meeting of Stockholders
- Prepare Section 16 filings for Section 16 insiders
- Prepare and oversee D&O Questionnaires
- Prepare internal reports

Subsidiary Management:

- Entity management to include director and officer elections, resolutions, secretary certificates, banking, and, M&A Integration
- Licensing management for all subsidiaries

General Corporate:

- Assisting with the management outside counsel spend (e.g., using software such as Legal Tracker)
- Manage and assist with additional projects as assigned by the General Counsel and Legal and Compliance Team

**MINIMUM QUALIFICATIONS**
- Corporate paralegal certificate
- 5+ years of experience as a paralegal in a law firm, corporate in-house legal department, or governmental legal setting
- Previous experience working with a board of directors
- Ability to work independently to resolve problems and confer with attorneys on final solutions or next-step processes
- Ability to work remotely when needed and without supervision
- Cooperative, positive, team-oriented attitude
- Ability to communicate effectively
- Excellent administrative and organization skills
- Experience with Legal Tracker or equivalent software preferred
- Experience with Contract Management software preferred
- Proficiency in MS Word, MS Excel, MS PowerPoint, Adobe and legal software programs.
