Commercial Law Attorney

We are a well-established, full-service financial services & business law firm with deep roots in Montgomery County, PA, and a growing reach throughout Pennsylvania and New Jersey. Our Commercial Lending Department represents banks and other financial institutions on all sides of lending transactions. We negotiate and draft loan agreements, conduct due diligence, counsel on compliance, and protect lender interests in both transactional and collection settings.
We are looking for a skilled Commercial Lending Attorney to join our team. You will play a central role in ensuring our financial services clients have strong, enforceable, and well-structured loan documents, while also managing risk and helping with credits, collateral protection, and compliance issues.
Negotiate, draft, and review various types of commercial lending documents: loan agreements, promissory notes, security agreements, intercreditor/subordination agreements, guarantees, etc.
Perform legal due diligence (title, UCC, environmental, collateral, risk assessments).
Advise lenders on regulatory & compliance matters associated with lending.
Structure transaction documentation that protects lender interests and mitigates risk.
Collaborate with internal stakeholders and clients (banks, financial institutions) on terms, risk, collateral, closing.
Keep up to date with legislation, case law, and regulatory changes impacting commercial lending and financial services.
Strong mentorship & collaboration in a firm with deep financial services expertise.
Exposure to both transactional and enforcement side of commercial loans (structured risk + real outcomes).
Work with reputable lenders and institutions, helping shape how deals are structured in local regional finance.

3-7+ years (or more for senior role) of commercial lending or financial services litigation/transactional experience.
Strong drafting, negotiation, and analytical skills.
Experience with risk analysis, collateral documentation, guarantees, and intercreditor agreements.
Ability to manage a pipeline of transactions under typical closing deadlines.
High attention to detail, strong organization, and excellent communication with both financial and legal stakeholders.
