Senior Attorney, Sourcing

YOUR ROLE
You will provide advice and counsel to Genworth's Sourcing (Procurement) Department on a wide variety of procurement agreements and related matters. This will include drafting, reviewing, and negotiating contracts, as well as providing strategic and day-to-day advice and counsel with respect to all aspects of Genworth's supplier relationships across multiple product lines and departments. You will work closely with the Senior Counsel currently supporting the Sourcing team and report to a Legal Director on the Long-Term Care Insurance Legal Team.

What you will be doing

  • Drafting, reviewing, revising, and negotiating simple and complex procurement agreements. This includes, but is not limited to, software license and maintenance agreements (on premises and software as a service/cloud), professional and other service agreements, business process/IT outsourcing agreements, and non-disclosure agreements
  • Working with multi-functional teams, including Sourcing, Risk, IT Security, Corporate Insurance, Tax, Business Owners, and others
  • Identifying and advising on legal and business risks in contracts
  • Interpreting contract provisions as needed throughout the life cycle of the contract
  • Advising on disputes with suppliers, with assistance from litigation counsel when needed
  • Assisting with termination of agreements and off-boarding of suppliers
  • Serving as the legal subject matter expert for Sourcing and related teams with respect to improvements in the contracting process

What you bring
Required

  • JD degree from an accredited law school
  • Minimum of 8 years of experience as legal counsel within a corporate legal department or a quality law firm focused on procurement agreements

Preferred

  • Outstanding oral and written communication skills, including the ability to communicate succinctly and effectively in emails and through written comments in contracts
  • Top-notch legal analytical skills
  • Proactive, creative problem-solving skills
  • Demonstrated ability to identify and assess risks and make recommendations regarding risk mitigation
  • Strong organizational and time-management skills
  • Effective negotiation skills
  • Ability to simplify complex legal concepts
  • Comfortable partnering with business clients at all levels of the organization
  • Adept at providing legal advice with a solution-oriented focus on achieving business priorities and goals
  • Capable of proactively managing client/management expectations
  • Ability to balance several priorities within compressed timeframes; ease in working in fast-paced, team-oriented environment
  • Capable of working with minimal daily supervision, while also knowing when a matter requires escalation
  • Experience with contracts involving personally identifiable information, including that subject to the Health Insurance Portability and Accountability Act, the Gramm Leach Bliley Act, and state privacy laws (expert knowledge of state and federal privacy laws is not required)
