The Role We are seeking an experienced, proactive, and solutions‑focused Director & Associate General Counsel – Anti‑Corruption and Antitrust to lead the development, implementation, and execution of L3Harris’s global anti‑corruption and antitrust compliance programs. Reporting directly to the Vice President, Associate General Counsel - Chief Ethics & Compliance Officer, this role is critical to ensuring compliance with U.S. and international laws and regulations while driving ethical business practices. In this role, you will help set the strategic vision and drive implementation, maturity and long‑term effectiveness of the company’s global anti‑corruption and antitrust programs. Responsibilities Anti‑Corruption & Antitrust Compliance Develop and maintain global anti‑corruption programs aligned with the Foreign Corrupt Practices Act (FCPA) and similar international regulations. Oversee risk assessments, controls testing, and mitigation strategies for high‑risk business activities. Provide oversight and legal support to global anti‑corruption teams in the execution and monitoring of key anti‑corruption controls, including those designed to manage risks related to gifts & hospitality, donations, and third‑party engagements. Assess the Company’s corruption risk through oversight of high‑risk vendors, ongoing controls testing, and advising risk mitigation measures for high‑risk business activities. Establish and articulate the company‑wide strategic vision for anti‑corruption and antitrust compliance, ensuring integration with the company’s business objectives, global risk tolerance, and ethical culture. Develop, maintain, and evolve forward‑looking compliance strategies that anticipate regulatory developments and position the company as an industry leader in anti‑corruption and antitrust compliance. Advise executive leadership on compliance risks, strategic investments, and regulatory developments. Ensure the Company’s anti‑corruption and antitrust compliance programs are consistent, scalable, and effective across the enterprise. Drive company‑wide implementation of compliance controls, leveraging cross‑functional resources for sustainable, measurable impact on company performance and reputation. Technology, Leadership & Resource Management Lead or sponsor major cross‑functional initiatives (e.g., global third‑party risk management enhancements, digital transformation of compliance systems, anti‑corruption and antitrust risk assessments) that drive innovation and enhance compliance maturity. Support the identification and implementation of sophisticated technologies and analytical capabilities, and harness data to enable industry‑leading detection capabilities. Mentor and guide anti‑corruption professionals and other stakeholders across the enterprise, fostering a culture of teamwork, excellence and accountability. Evaluate resource gaps and propose actionable solutions to optimize program effectiveness. Liaise with critical L3Harris segment leaders and business leaders in functions such as Legal, Finance, Contracts, Global Trade, Global Security, Supply Chain, Internal Audit, etc. on anti‑corruption and antitrust topics and issues. Policy Development, Monitoring, Training & Continuous Improvement Oversee the creation and continuous improvement of global anti‑corruption and antitrust policies, procedures, and controls, ensuring alignment with evolving DOJ and SEC guidance, regulations, and leading industry practices. Direct ongoing monitoring, auditing, and analytics activities to evaluate program effectiveness and drive continuous enhancement based on root cause analysis, regulatory trends, and benchmarking. Ensure rigorous documentation and reporting of compliance activities—including preparation of executive‑level reports and board presentations. Work directly with attorneys and investigators in the Ethics & Compliance and Litigation functions on responses to regulators, as needed (e.g., subpoenas or requests for information from state, federal, or international agencies). As needed, negotiate, research, draft, revise, and/or analyze agreements, contracts, memoranda, legal correspondence, and other legal documents. As needed, lead or support internal investigations involving anti‑corruption or antitrust concerns across the enterprise in coordination with Ethics & Compliance, Global Security, Human Resources, and Information Technology teams. Support critical transactional guidance and work product for M&A activities. Develop and deliver training programs to educate employees and other stakeholders on anti‑corruption and antitrust laws, policies, and best practices. Qualifications Juris Doctor (JD) degree and active membership in good standing with the bar of at least one U.S. state. Minimum of 12-15 years of experience as a practicing attorney, with substantial in‑house, law firm and/or government experience designing, executing and scaling enterprise compliance programs. Eligibility and ability to obtain a U.S. Security Clearance. Preferred Additional Skills Experience in aerospace, defense, government contracting, or technology industries. Prior law enforcement experience with anti‑corruption or antitrust cases (e.g., DOJ, SEC). Proven leadership skills with executive‑level presence and the ability to influence cross‑functional programs. Ability to oversee and lead multiple complex projects concurrently, manage competing priorities, and facilitate alignment between executive level stakeholders. High energy, self‑motivated, and able to thrive in a fast‑paced environment. Experience negotiating with and managing outside counsel within budget constraints.
