Senior Legal Counsel Location: Remote, USA Compensation: $140,000.00- $170,000.00 (Range applies to US candidates only) + Benefits/Variable Comp/Equity - Range may vary based on experience. Employment Type: Full-Time Benefits Offered: Vision, Medical, Life, Dental, 401K Summary OneStream is looking for a Senior Legal Counsel to join our Legal Team. This role will primarily focus on sales transactions for SaaS offerings, subscription software, and professional services. This position will negotiate and drive strategic transactions and a significant volume of sales agreements, as well as counsel the sales team and other relevant groups on a variety of licensing, intellectual property, commercial, data security and privacy topics. This position will also help with projects to improve processes that pertain to review, approvals, and negotiation of commercial and legal terms for all business areas. Primary Duties and Responsibilities Draft, review, and negotiate global sell-side SaaS and software license agreements and amendments, as well as other commercial or corporate agreements such as NDAs, Data Processing Agreements and vendor agreements. Subject matter expertise into nuanced areas of commercial transactions, including but not limited to those related to transactions with entities in regulated and quasi-regulated industries such as governments, financial institutions, etc. This includes the correlated ability to collaborate with specialized vertical stakeholders internally and become a trusted advisor to their teams (including attending quarterly business reviews). Extensive interaction with cross-functional teams at all organizational levels with an expectation of maintaining high levels of responsiveness and customer service. Provide support to sales and account managers on issues of contract interpretation. Improve efficiency and compliance by changing processes and training the sales team. Work with Compliance Team on various issues, including but not limited to, privacy related matters. Required Education and Experience JD from an accredited US law school. 5-10 years' commercial transactions experience. Minimum 3 years' in-house experience with a business-oriented focus on the sell-side negotiation of software, SaaS, and technology related license agreements. Knowledge, Skills, and Abilities Proven history of being a practitioner in the art of negotiation and creative solutions through the deal life-cycle. Experience with direct interaction with both internal and external clients and across all organizational levels. Member of a State Bar and in good standing. Strong sell-side commercial transactions background. Experienced in the practice of delivering creative solutions throughout the transaction life-cycle. High degree of independence, initiative, judgement, and decisiveness. Ability to deliver results, both as an individual contributor and as a member of the global legal teams. Capacity to lead projects and coordinate external advisors.Demonstrated ability to quickly digest complex information and informed decisions. Must be self-motivated with high energy. Strong analytical, attention-to-detail, and problem-solving skills. Strong written and verbal communication skills, including the drafting of agreements and giving advice in plain English. Excellent interpersonal skills. Comfortable in a fast-paced and evolving environment.
