Director, Corporate Counsel- Corporate Headquarters, NJThe Corporate Counsel will be responsible for general corporate and transactional matters and contracts, and will assist in the corporate governance and securities functions of the Legal Department. This position will independently review and negotiate company commercial agreements and provide general corporate support for the business.Position Summary:The Corporate Counsel will be responsible for general corporate and transactional matters and contracts, and will assist in the corporate governance and securities functions of the Legal Department. This position will independently review and negotiate company commercial agreements and provide general corporate support for the business.Key Accountabilities:Serve as the primary counsel for general corporate and commercial contract mattersPartner with the Procurement Department and business leads to negotiate and draft contracts, covering areas across Store Operations, E-Commerce, Marketing, IT, Finance, Tax and LogisticsBecome familiar with privacy and cybersecurity to advise on various issues at The Children’s Place as they arise in contract negotiationAssist in the drafting and review of various SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and press releasesProvide support for public company corporate governance matters, including drafting of board committee meeting minutes, assisting in management of strategic risk committee, and attending to the company’s corporate organizational needsEducation and Experience:Strong academic credentials, including a J.D. degree from an accredited law school and membership in good standing in at least one state bar6 - 12+ years of experience in a law firm or a corporate in-house legal roleExperience negotiating a wide variety of corporate and commercial contracts, including software/IT services, NDAs, equipment leases, e-commerce agreements, supply chain, consulting and other operations agreementsExperience in drafting public company corporate governance documents a plusSkills and Behaviors:Strong contract drafting and negotiating skillsStrong time-management skills, and ability to pivot and reprioritize matters to meet shifting demandsKnowledge of cost-effective management of outside legal resourcesProficient in Microsoft OfficeExcellent verbal and written communication skillsExcellent organizational skills and attention to detailMust demonstrate professionalism and a high degree of confidentialityAbility to function efficiently in a hybrid work environmentThis is a full-time Director position in the Legal and Administrative department, located in Secaucus, NJ.The company offers medical insurance, vision insurance, 401(k), and disability insurance. #J-18808-Ljbffr
