Corporate Counsel

The Corporate Counsel will report directly to the General Counsel and be an integral member of the legal team. This individual will primarily be responsible for working with internal stakeholders across the Company on a variety of legal needs in connection with our development of gene therapies for wet AMD and other diseases, providing legal advice on a wide range of matters, including SEC compliance, general corporate law, financings, contracting and labor and employment. The role requires a self-starter possessing exemplary collaboration, communication, leadership and influencing skills. The role also requires a business-oriented and operations focused approach and a willingness to engage in ensuring the overall growth and success of the organization.
What you'll do: Support for SEC filings and internal processes, including preparation and review of all SEC filings (including Section 16 reporting, proxy statements, registration statements, Forms 8-K, 10-Q, 10-K and Form 4), in collaboration with various internal and external non-legal parties, including senior management, Board members, the Finance team, and vendorsAssist with the planning, preparation, conduct, and records of all Board of Directors and Committee meetingsOversee the paralegal responsible for day-to-day management and maintenance of corporate governance recordsResponsible for drafting, reviewing and negotiating a wide variety of agreements across the business in an efficient and risk-sensitive way including agreements supporting Adverum's clinical, pre-clinical, quality, regulatory and manufacturing teams Provide advice and guidance related to contractual rights and obligations, as well as interpretation of terms and conditionsProvide legal support to the People Team pertaining to labor and employment matters and complianceBuild trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the CompanyActively participate in legal department administration and operations working closely with the General Counsel and other department staffDemonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments, and instill best practicesAct as a proactive business partner to all levels of the organization and build trusted advisor relationships in addition to influencing and collaborating effectively across all levels of the CompanyActively participate in legal department administration and operations to help ensure a successful legal teamDevelop deep knowledge of the Company's business and provide thoughtful, creative and business-minded legal advice and recommendations to achieve business and strategic objectivesDemonstrate subject matter expertise in substantive legal areas managed, keep abreast of new developments, and instill best practices; andPerform additional duties as assignedAbout you: Strong interpersonal skills, and ability to communicate and collaborate with colleagues at all levels of the organization, as well as with the Company's business partners and vendors, in a positive and effective mannerJD from a reputable ABA accredited law school; membership in at least one state bar5+years of relevant legal experience, with increasing responsibilitiesExcellent analytic ability, nuanced judgment and exceptional problem-solving skillsEffective oral and written communications skillsDemonstrated work ethic and team-first mentalityMust have the ability to multitask, prioritize appropriately, exercise sound judgment and work in a fast-paced environmentEnthusiastic team player with ability to work both independently with minimal direction and collaboratively with small, cross-functional teamsSelf-starter with strong work ethic, solid character and personal integrityAbility to work and lead under pressure unruffled, exhibiting timely decision making, and with a sense of humor and balanceEnthusiastic team player with ability to work both independently and as part of a team
