📢 Job Opportunity: Corporate Associate – Middle Market Corporate & Securities Practice
An AmLaw firm is seeking a skilled and motivated Corporate Associate to join its premier Middle Market Corporate and Securities Practice in Tysons Corner, VA. This is an exceptional opportunity to work on high-caliber, sophisticated transactions and commercial matters in a collegial and fast-paced environment.
About the Role:
As a Corporate Associate, you will support principals on significant mergers and acquisitions (M&A) and provide outside corporate counsel services to a diverse client base. You will manage transaction teams and collaborate across multiple disciplines to deliver seamless solutions for clients.
Responsibilities include:
- Drafting and negotiating purchase agreements for M&A transactions.
- Managing transaction teams and overseeing deals from due diligence to negotiation, documentation, and closing.
- Structuring and forming new business entities and ventures.
- Advising corporate clients on acquisition strategies and day-to-day legal needs.
- Drafting and negotiating general corporate and commercial agreements, such as IT and licensing agreements, stock and asset purchase agreements, and operating, limited partnership, and shareholder agreements.
Qualifications:
- 3+ years of experience in corporate and securities law with a focus on M&A, commercial agreements, and business entity structuring.
- Demonstrated ability to manage transactions across disciplines and practices.
- Strong skills in drafting, negotiating, and managing contracts and agreements.
- Admission to the Virginia bar or willingness to take the Virginia bar.
- J.D. required.
- A highly motivated, detail-oriented professional capable of working independently and collaboratively.
