RESPONSIBILITIES:

  1. Support the origination and execution of investment banking transaction mandates for middle market and emerging companies particularly in the Climate & Sustainability sector as well as Crossover Investors and Financial Sponsors engaging in: buy and sell-side M&A, private capital raises as well as capital markets processes, such as risk management solutions like foreign exchange and interest rate derivatives, including debt and equity offerings.
  2. Execute investment banking transactions and processes in a global firm environment, including both M&A and capital markets products such as common share equity issuance, foreign exchange and interest rate derivatives.
  3. Advise on the preparation of materials for clients and participate in client meetings during the course of investment banking deal origination and execution.
  4. Lead due diligence processes for investment banking transactions with focus on Climate & Sustainability sector and for deals involving Crossover investors, such as: buy and sell-side M&A, inclusive of cross-border transactions, as well as capital markets processes, including debt and equity offerings.
  5. Prepare and oversee financial analysis, including detailed valuation analysis, such as: LBO analysis, discounted cash flow, accretion and dilution, IPO pro forma analysis, comparative company analysis, and sum of parts analysis.
  6. Lead teams of junior investment bankers to execute transactions, prepare client materials, and manage transaction processes.
  7. Draft and negotiate engagement letters, confidentiality agreements, and other documents related to investment banking transactions.
  8. Attend and oversee client meetings with prospective buyers in sell-side M&A processes, including management presentations and due diligence.
  9. Support internal transaction and capital commitment committee processes such as Fairness Committee, Equity Commitment Committee, and Leveraged Finance Committee.
  10. Coordinate the end-to-end deal transaction process while managing the analysts and associates through to execution.
  11. Prepare internal credit memos and lead credit negotiations for derivative exposure underwriting and approval.
  12. Assess Foreign Exchange and Interest Rate derivative structuring, pricing, and execution.
  13. Assess Leveraged Buyout structures and common capital structures.

REQUIREMENTS:

  1. Master's degree or equivalent in Business Administration, Finance, Economics or related; and
  2. 5 years of experience in the job offered or a related finance occupation.
  3. Must include 5 years of experience in each of the following:
    1. Coordinating the end-to-end deal transaction process while managing the analysts and associates through to execution;
    2. Preparing internal credit memos and leading credit negotiations for derivative exposure underwriting and approval;
    3. Assessing Foreign Exchange and Interest Rate derivative structuring, pricing, and execution; and,
    4. Assessing Leveraged Buyout structures and common capital structures.
  4. In the alternative, the employer will accept a Bachelor’s degree and 7 years of progressively responsible experience.
  5. Up to 25% domestic and international travel required, as necessary.
