Position Summary

The Assistant General Counsel position provides legal counsel and advice on a variety of legal matters and projects throughout the Bank. This role is responsible for providing prompt and effective legal support directly to business units within the Bank on general corporate matters, particularly the Bank’s core business, secured lending. Works closely with other members of the Legal Department, including the SVP/General Counsel, and with other members of senior management of the Bank. We offer a predictable schedule in a collaborative office environment.

This role will have a hybrid work schedule in our Boston office in accordance with the Bank’s Hybrid Work Program. More time will be encouraged in the office to support onboarding initially.

Specific Responsibilities
  1. Supports credit/collateral functions, including analyzing and implementing strategies and legal risks arising from specific collateral types and members’ organizational structures.
  2. Negotiates credit-related agreements, including loan and security agreements, stock pledge agreements and other credit support documents.
  3. Provides counsel regarding the Bank’s mortgage purchase program (MPF offering).
  4. Supports the Bank’s evaluation of new products and programs, including those that support affordable housing and community development.
  5. Supports membership development activities, particularly with respect to insurance companies.
  6. Participates in internal and FHLBank System task forces and working groups.
  7. Provides counsel on legislative and regulatory proposals, and advocates on behalf of the Bank, including by drafting comment letters.
  8. Negotiates and drafts vendor contracts, as needed.
  9. Attains and maintains a thorough knowledge of the law and current legal developments in areas of responsibility.
  10. Attains and maintains an understanding of laws and regulations of specific applicability to the Federal Home Loan Bank System.
  11. Other duties, as assigned.
Education & Credentials
  1. Graduation from an accredited law school is required.
  2. Current license to practice law in any state of the United States is required for consideration.
  3. If not already licensed in Massachusetts, the selected candidate must be able to meet the necessary requirements for licensure within Massachusetts within an agreed-upon timeframe (either admitted to practice in Massachusetts or registered in Massachusetts as in-house counsel).
Experience
  • At least 6 years of (combined) experience with a law firm and/or in a corporate legal department is ideal for this role.
Knowledge/Skills
  1. Experience with secured transactions and protection of creditors’ interests required.
  2. Contract review, drafting and negotiating skills required, particularly with respect to credit-related documents, including loan and security agreements, stock pledge agreements and other credit support documents.
  3. Experience with the laws and regulations applicable to mortgage lending, including fair lending/housing laws and regulations, strongly preferred.
  4. Knowledge and experience with the laws and regulations applicable to insurance companies strongly preferred.
  5. Bank regulatory knowledge is a plus.
  6. Experience with or knowledge of eNotes and the federal and state laws related thereto is a plus.
  7. Strong issue-spotting, problem-solving and analytic ability must be demonstrated.
  8. Ability to communicate effectively, both orally and in writing is required.
  9. Ability to keep other members of legal department and internal clients informed of status or problems in a timely, businesslike manner is expected.
  10. Ability to work independently to manage and prioritize multiple matters and associated dates is required.
  11. Strong interpersonal skills, particularly active listening, influence and building productive professional relationships, are required for success in this position.
