Company Description:

The company is a Boston based hedge fund founded in 2013. The fund seeks to achieve attractive absolute returns on a long-term, risk- adjusted basis, while emphasizing capital preservation. To achieve the objective, the Funds employ an opportunistic, deep-value investment strategy combined with an analytically rigorous, fundamental approach to identifying and assessing value.


Responsibilities:

·        Assist the General Counsel/CCO in delivering high quality legal services in support of the firm’s business objectives, ensuring that practices, policies and decisions are consistent with the firm’s values, investment objectives and operational and compliance controls and procedures

·        Assist the General Counsel/CCO on all components of the firm’s compliance program including updates to compliance manuals and all compliance-related documentation, timely and accurate regulatory reporting and monitoring of all risks and requirements. 

·        Under supervision of the General Counsel/CCO and in collaboration with outside compliance consultants, conduct testing and monitoring of business activities through annual compliance program to ensure compliance with regulations and internal policies and procedures.

·        Manage regulatory filings for the firm and support General Counsel/CCO during SEC exams or other inquiries

·        Prepare and review various legal documents related to employment matters, NDAs for private investments and vendor contracts

·        Collaborate with the firm’s Investor Relations team to review marketing materials, investor presentations and DDQs; draft and negotiate investor NDAs; review investor subscription agreements

·        Draft agreements/amendments for fund offering materials

·        Assist General Counsel/CCO on legal matters related to the business, including monitoring and addressing changes in legal and regulatory conditions affecting the firm’s business, investments or investors, and support of operations team

·        Assist General Counsel/CCO on legal matters related to investments; attend investment meetings

·        Understand counterparty relationships, ISDAs and review and negotiate trade confirms

Work effectively with outside counsel and manage special projects as necessary


Qualifications

·        JD and admission to U.S. state bar

·        Excellent organizational skills, detail oriented and able to complete projects efficiently and with a minimum of supervision

·        Minimum 4 years’ experience representing financial institutions (at law firm or in-house)

·        Knowledge of the Investment Advisers Act

·        Experience with derivatives, ISDAs, trade confirms
