Roles and Responsibilities:
Investment Structuring and Due Diligence:
- Collaborate with the investment team to structure and negotiate complex investment transactions, including equity investments, convertible notes, and shareholder agreements.
- Conduct thorough legal due diligence on potential investments, assessing legal risks related to intellectual property, regulatory compliance, and contractual obligations.
Contract Drafting and Negotiation:
- Draft, review, and negotiate investment documents, term sheets, and legal agreements to protect the firm's interests and ensure alignment with investment objectives.
- Advise on legal implications of deal terms, governance structures, and exit strategies to optimize investment outcomes.
Regulatory Compliance and Risk Management:
- Stay updated on regulatory developments impacting venture capital investments, including securities laws, tax regulations, and industry-specific compliance requirements.
- Develop compliance strategies and policies to mitigate legal risks and ensure adherence to relevant laws and regulations.
Portfolio Company Support:
- Provide ongoing legal support to portfolio companies on corporate governance matters, strategic transactions, employment issues, and commercial contracts.

Legal Research and Strategic Advice:

Skills and Qualifications:
- Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the bar association in [State/Country].
- 5+ years of experience in venture capital, private equity, corporate law, or related fields, with a strong understanding of investment transactions and securities regulations.
- Proven track record in structuring and negotiating complex commercial agreements and investment documents.
