Position Summary

The General Counsel is primarily responsible to work with the Executive Vice President and Corporate Counsel to provide legal advice to the President and the Esperanza Executive Leadership team and represent the organization in legal matters involving outside agencies, business partners, government entities, stakeholders, or complainants. The General Counsel also provides legal advice to all Esperanza departmental and program areas and provides legal advice to the Board of Directors.


The General Counsel is also responsible for providing legal representation, advice, and opinions in all substantive areas of law affecting the organization to include but not limited to contracts, risk management, education, economic development/real estate, and employment law. The General Counsel has internal contacts with the entire administrative staff and external contact with business partners, key stakeholders, external counsel, government officials, and members of the community. This position has access to sensitive Esperanza information and is expected to handle such information with integrity and professionalism. This position has regular contact with employees and members of the community and is expected to represent Esperanza in a professional manner. The General Counsel will report directly to the Executive Vice President and Corporate Counsel and participate in department activities, as necessary.


B. Legal Representation


The General Counsel is responsible for providing legal representation, advice, and opinions in all substantive areas of law affecting the organization, including but not limited to: 1. Bringing legal issues and concerns to the attention of the administration and helping them to respond appropriately; General Counsel Page 2 of 4 2. Work with Executive Vice President and Corporate Counsel in developing, revising, and interpreting internal organizational policies; 3. Providing advice in all issues relating to employment law, discrimination, diversity, and equal employment opportunity; 4. Providing counsel and advice relating to corporate non-profit law; 5. Representing the organization in real estate transactions, litigation and settlements and issues of real property and land use; 6. Providing counsel and advice relating to educational legal matters; 7. Representing the organization in various administrative hearings and arbitrations; 8. Negotiating, drafting, and reviewing contracts; 9. Providing counsel and advice concerning compliance with federal and state statutes and regulations affecting the organization; 10. Monitoring and resolving disputes which may lead to litigation; 11. Participating in continuing legal education through membership in the State and local Bar Associations, and ongoing reading of legal periodicals and attendance at seminars.


C. . Administration


1. Partner with the Executive Vice President and Corporate Counsel to minimize risk and ensure that appropriate and up-to-date organizational policies and procedures are in place and implemented. 2. Oversee and manage specific organizational programs, projects, and business units as assigned. 3. Complete special assignments at the request of the Board or President. 4. Participate in the definition and development of organizational policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.


Management Duties:

1. Provide structure and management of staff or other organizational programs and units as assigned through independent judgment and decision-making. 2. Regularly direct the work of and provide staff development opportunities and training to department support staff.


Knowledge, Skills, and Abilities


? Understand and promote Esperanza’s mission, goals, and objectives. ? Ability to work independently with a high level of energy and contribute as part of a larger team. ? Expert knowledge of state and federal laws and regulations relevant to all areas of legal oversight including but not limited to real estate development, contract law, employment law, and education. ? Experience working on matters of corporate governance and with a board of directors. ? Experience with cost effective management of outside legal resources. General Counsel Page 3 of 4 ? Ability to work in a team structure – demonstrating ability to collaborate and contribute to the team’s work. ? Ability to lead, manage and supervise others. ? Knowledge of and ability to interpret employment laws, rules, and regulations and implications of these directives upon the work environment. ? Ability to mediate or address legal issues. ? Skill in effectively communicating, verbally and in writing, with persons at different levels of the organization to explain procedures, policies, rules that are of a legal or technical nature. ? Possesses strong interpersonal skills as demonstrated by compassionate, courteous, cordial, cooperative, and professional interaction with diverse groups of co-workers, external business partners, and the community; ? Ability to follow-up and follow-through with strong attention to detail.

Requirements:

Experience, Education, and Licensure


Spanish speaking preferred.

Minimum Experience: 5+ years’ experience as a practicing attorney, preferably with a law firm before moving to an in-house position; experience in a non-profit setting in human resources or in community development and real estate is preferred. Familiarity with and experience interacting with our Hispanic faith-based community is preferred. Minimum Education: Juris Doctor degree from an accredited college or university is required. Certification/License: Licensed to practice law in PA is required
