Frost Brown Todd LLP is currently seeking a Corporate Paralegal to join our Louisville office. This position will support multiple attorneys in our Business Combinations & Capital Transactions Practice Group.

Job responsibilities include:

  • Drafting and preparing organizational documents for new entities.
  • Drafting and preparing documents to amend Articles of Incorporation, Articles of Organization, or similar.
  • Completing and filing foreign qualification applications for various entities.
  • Preparing stock certificates, stock powers, and other stock transfer documents
  • Preparing and maintaining registers/ledgers of shareholders, members, and other equity holders.
  • Preparing organizational, banking, financing, acquisition/disposition, and other director/shareholder resolutions.
  • Completing and filing S corporation election and related documents, including shareholder consent.
  • Obtaining FEIN, including preparation of required documentation.
  • Registering entities with state and local taxing authorities.
  • Assembling and maintaining minute books and record books.
  • Preparing and filing annual reports.
  • Drafting dissolution documents, including Articles of Dissolution, Plans of Dissolution, and public notices.
  • Drafting Articles of Merger, Plans of Merger, and documents for similar entity actions.
  • Drafting Closing Certificates, Officer Certificates, and similar certificates.
  • Preparing and filing Certificates of Assumed Name.
  • Preparing and filing necessary documents to change a registered agent, etc. and take similar actions.
  • Searching state and county jurisdictions for state/federal tax liens, UCC filings, judgments, outstanding litigation and similar items.
  • Preparing and arranging for publication of legal notices and Service of Process in various states.
  • Conducting, reviewing and summarizing real property title searches.
  • Preparing and filing real property transfer documents, UCC/mortgage releases and similar documents.
  • Conducting and summarizing due diligence on entity organizational documents, minute books, etc.

Requirements:

  • Bachelor's Degree and/or paralegal certificate required.
  • 5+ years of paralegal experience is required.
  • Previous experience working on corporate transactions is required.
  • Must demonstrate experience with all manner of corporate documents.
  • Must be well-versed on Secretary of State websites, filing procedures, and costs.
  • Strong research skills.
  • Extremely accurate and detailed in completing paperwork.
  • Strong communication skills – both verbal and written.
  • Ability to work within set goals and achieve them.
  • Critical thinking ability.
  • Ability to work under pressure and with time constraints.
  • Ability to work independently.
  • Strong organization and attention to detail skills.
  • Proficient computer skills, including Microsoft Office applications.
  • Flexibility to work overtime as needed.
