Fortifi's legal team is seeking an experienced Compliance Coordinator based in The Woodlands, Texas office to assist General Counsel and the global leadership team integrate and further develop a comprehensive compliance culture. The intention is this culture ensures absolute compliance with International Commercial Compliance best practices and applicable laws while increasing the efficiency of our operations and optimizing our risk assessment.

RESPONSIBILITIES:

  • Develop Agent Management process and chair committee to ensure appropriate internal and external vetting of all sales reps and distributors. Standardize (to the extent practical) civil contract terms (conflict of interest, termination, governing law, products and territories represented, etc) and ensure vetting through both internal and external parties. Ensure inclusion of anti-corruption language, Gifts, Meals, and Entertainment policies, government interactions oversight, appropriate market compensation and the avoidance of split-profit and similar arrangements and no optionality on the customer side to change representational, compensation, and compliance terms.
  • Establish company-wide 3rd party vetting program as well as Know Your Customer infrastructure and processes based on a geopolitical and database-informed risk-adjusted approach. This will include customers, supply chain/vendors, and all agents. Maintain blacklist of known bad actors apart from government SDN lists. Maintain database evidencing proof of vetting. Be familiar with or be able to become familiar with U.S., E.U., and other applicable sanctions laws. Ability to research 3rd party corporate and ownership structure to identify and allow or to thwart sanctions evasion and facilitation efforts. Identify best screening databases (Dow Jones, Livingston, Sea-Web, etc), and manage vendor relationship and cost.
  • Some knowledge (or ability to learn) of international trade including applicable treaty trade in goods rules, Certificates of Origin, INCOTERMS, and the ability to identify and pursue drawback duties.
  • Establish anti-boycott violation identification and reporting practices in concert with outside counsel
  • Chair ICC and Investigations Committees to ensure thorough consideration of agent engagement and disengagement and steward and track investigations from cradle to grave in concert with Legal, HR, and outside counsel, as appropriate. Monitor hotline calls and advance for action to investigative teams as appropriate.
  • Draft efficient policies and procedures to address all of the above.

EDUCATION & REQUIREMENTS:

  • Bachelor's degree preferred.
  • Extremely well-organized and detail oriented.
  • Prior experience with assisting General Counsel, Outside Counsel, and executive leadership.
  • Critical thinking skills and the ability to appropriately balance risk while ensuring compliance with the law.
  • Superior oral and written communication skills; ability to effectively articulate information.
  • Possesses a strong sense of urgency.
