General Counsel

Knoxville, United States Red Stag Fulfillment Full time
Job DescriptionJob DescriptionRed Stag Fulfillment - General Counsel

Red Stag Fulfillment, LLC (“Red Stag”) is an eCommerce order fulfillment company built to enable online retailers to grow and scale their businesses.  Headquartered in Knoxville, Tennessee, Red Stag was created with one mission: to redefine the 3PL experience for both clients and employees.  By leveraging technology to ensure accurate, reliable, secure, and fast shipping, we have quickly established ourselves as a world-class fulfillment company.  Additionally, we understand that our people (aka “The Herd”) are our most important asset.  We have grown into one of America’s best order fulfillment companies by building a team of people who are eager to be a part of our growth.  Our core values are of paramount importance and inform and guide all our decisions.

Here at Red Stag:
  • We treat others with dignity and respect.
  • We sweat the small stuff.
  • We have positive attitudes.
  • We act like we own it.
  • We always seek to improve.

We are hiring a General Counsel to join our executive leadership team. This is a full-time, onsite role, reporting directly to the CEO and working primarily out of Knoxville, TN headquarters with regular presence expected at our Sweetwater, TN fulfillment center and ~quarterly travel to our Salt Lake City, TN fulfillment center.

About the role:
The world of eCommerce is moving at lightning speed, and we need a business-oriented lawyer to serve as our partner-guardian for the next phase of Red Stag’s growth journey.  Reporting directly to the CEO and serving as a vital member of our executive leadership team, our General Counsel will be chiefly accountable for the legal operations and regulatory compliance of our business.  While we don’t want to be too literal, the title “General Counsel” is spot on here.  First, we need a true “generalist” who can effectively and resourcefully handle a wide array of legal issues on a day-to-day (or hour-to-hour) basis.  Second, we need a genuine “counselor,” who is not only a first-class legal practitioner, but who also takes pride in the unique seat they occupy in the organization and who enjoys advising, guiding, and influencing strategic business decisions.

Responsibilities:
  • Grow and lead our existing culture of compliance, ethical behavior, and good judgment.
  • Support our entrepreneurial, problem-solving team by offering wisdom, counsel, and (when necessary) respectful and well-reasoned dissent.
  • Spot issues, offer understandable solutions, assist with necessary operational changes, and audit success.
  • Leverage legal skills and resources to enhance service lines, such as hazardous materials transportation, international trade opportunities, and warehouse management contracts.
  • Build, cultivate, and manage a deep bench of value-adding outside lawyers who can amplify your contribution to the business.
  • Obsess over details and documentation, while keeping Red Stag’s legal operations organized and ordered.
  • Serve as the company’s representative to external regulators, adversarial proceedings, and other governmental or public parties.
  • Take pride in your role as the company’s in-house lawyer – teach us about the general legal and regulatory landscape.
  • Simplify the complicated.
  • Be a true generalist, who can handle and prioritize legal tasks across a wide variety of areas, including commercial agreements, real estate, corporate, transportation, food safety, insurance, labor & employment, litigation, and intellectual property.
  • Help us tackle the many challenges (known and unknown) that lay ahead.
  • Continually invest in and promote the personal growth of other employees.
  • Any other duty that would typically be expected of a General Counsel of a similarly-situated company.

Our General Counsel should have the following personality traits, preferences, and experiences:
  • Integrity and character beyond reproach;
  • Impeccable judgment – you know what to do when no one knows what to do;
  • An action-oriented, ‘get stuff done’ attitude, with no need for hand-holding or micro-management;
  • Extremely organized and detail oriented;
  • Dedicated to excellence and pride in your work product;
  • The intellect to identify problems and the fortitude to fix them;
  • Equally competent with big picture goals and the minute details of execution;
  • Rational, objective, open-minded, and curious;
  • Cool-headed, unflappable, and fearless;
  • Tough, independent thinker who doesn’t shy away from conflict;
  • Internalized identify of a steward, guardian, and fiduciary;
  • A natural team-player and leader who enjoys being challenged by other likeminded colleagues;
  • An eager executive collaborator who can “let chaos reign and then rein in the chaos,” to support the entrepreneurial process and shepherd complex projects across the finish line;
  • Comfortable and committed to poke, prod, challenge, and – when necessary – lead difficult conversations and resolve difficult problems.
  • Bachelor’s and law degrees, with a license to practice law in the United States; and
  • At least 12 years of experience in the practice of law, preferably representing growing businesses in a firm or in-house setting.
