We are seeking a highly skilled and motivated Corporate Paralegal to join our dynamic team at Triad Financial Services. The Corporate Paralegal will play a crucial role in supporting our General Counsel (“GC”) and clients by providing administrative and legal assistance in corporate matters. This position requires that you report to our office which is located in Jacksonville, FL on a daily basis.

Responsibilities:

  • Manage Corporate Governance including charters, resolutions, meeting materials and assist in drafting and reviewing legal documents, such as contracts, agreements, corporate resolutions, and corporate filings.
  • Manage multiple executive calendars and schedule meetings.
  • Record, communicate and store meeting minutes and materials.
  • Manage corporate and management council activities on schedule, including annual policy and program review.
  • Conduct legal research and analysis on issues pertaining to Triad business. This may include mergers and acquisitions, corporate governance, compliance, and regulatory matters.
  • Manage corporate records and documentation, including organizing and maintaining corporate minute books, shareholder records, and board meeting materials.
  • Provide support to the Executive team and Executive Administrator.
  • Coordinate and assemble Board packages.
  • Coordinate and assist in the preparation of due diligence materials for Triad transactions.
  • Communicate and collaborate effectively with attorneys, clients, and external stakeholders to facilitate smooth legal processes and transactions.
  • Serve as the principal executive assistant to the GC and assist in the preparation of correspondence, reports, and presentations as needed.
  • Support the GC and outside attorney’s in managing corporate litigation matters, including document collection, review, and organization.
  • Assist the General Counsel with the corporate legal and governance matters of the Company.
  • Perform other duties and responsibilities as assigned by the General Counsel or Management.

Qualifications:

  • Bachelor's degree in Paralegal Studies, Legal Studies, or a related field is highly preferred.
  • Paralegal certification from an accredited institution is preferred.
  • 3+ years of experience working as a corporate paralegal in a law firm, bank, financial/mortgage based legal department.
  • Strong knowledge of corporate law principles, procedures, and practices.
  • Proficiency in legal research tools and software, such as Westlaw, LexisNexis, and Microsoft Office Suite.
  • Excellent organizational skills with the ability to manage multiple tasks and deadlines effectively.
  • Strong attention to detail and accuracy in legal document preparation and review.
  • Excellent written and verbal communication skills.
  • Certified Notary Public or eligible to become certified within 3 months of employment.
  • Experience with Robert’s Rules of Order, including preparing agendas and keeping minutes for board and management committee meetings.
  • Ability to work independently and collaboratively in a fast-paced environment.

Salary Range: $69,246.43 To $76,940.48
