With a unique blend of cultural insight and professional expertise, we pride ourselves on creating an environment that fosters success for both employers and candidates.Our client, a boutique law firm located in Miami, FL specializing in providing comprehensive legal services in various practice areas, including corporate law, mergers and acquisitions, securities, and business transactions. Our client seeks a talented and experienced Corporate Transactional Lawyer to join its team. The successful candidate will have a strong background in corporate law and transactional matters, with a focus on advising clients on a wide range of corporate transactions and business ventures.Responsibilities:
- Advise clients on corporate governance matters, entity formation, and structuring of business entities.
- Draft and review corporate documents, including articles of incorporation, bylaws, operating agreements, and shareholder agreements.
- Assist clients in negotiating and drafting transactional agreements, including asset purchase agreements, stock purchase agreements, and merger agreements.
- Conduct due diligence reviews and analysis for corporate transactions.
- Provide legal counsel on corporate finance matters, including debt and equity financing, private placements, and securities offerings.
- Collaborate with clients, partners, and other stakeholders to develop and execute strategic business plans and initiatives.
- Stay updated on developments in corporate law, securities regulations, and business trends.Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school and have excellent academics.
- Admitted to practice law in the state of Florida.
- Minimum of three [3] of experience in corporate law and transactional practice.
- Strong understanding of corporate governance principles and business law.
- Experience drafting and negotiating corporate agreements and transactional documents.
- Excellent communication, negotiation, and problem-solving skills.
- Ability to work independently and as part of a team.
- Detail-oriented with strong analytical and organizational abilities.
