Corporate Paralegal

Brown & Streza, LLP is a mid-sized law firm in Orange County that focuses on Business Planning, Estate Planning, Complex Income Tax Planning, Charitable Sector and Mergers & Acquisitions. We are seeking a transactional Paralegal to work in our Business Department. This Paralegal will primarily report to attorneys who specialize in representing closely held businesses and providing transactional business, real estate and tax services. The position involves assisting attorneys with fast-paced administrative and document intensive projects and a heavy workload in the areas of real estate, business planning, corporate governance, succession planning, and mergers & acquisitions. The firm has constantly been growing over the past few years and this position is an opportunity for someone to grow in their career. Responsibilities and duties include:

  • Drafting and filing real estate documents and working with title companies
  • Entity formation
  • Preparing engagement agreements and conflict of interest waivers
  • Preparing first drafts of form documents for attorney review
  • Maintaining electronic and hard copy files
  • Legal writing and research
  • Management of client relationships

Requirements:

  • Paralegal certificate or attorney attestation
  • Legal experience including business transactions of all types, preparation of documentation related to real estate transactions, and formation of legal entities (corporations, LLCs and partnerships, transferring real property, buy-sell agreements, business contracts and corporate and partnership dissolutions).
  • Three years of experience working under the supervision of an attorney preferred
  • M&A and/or estate planning experience preferred
  • Proficiency in MS Office programs and Windows
  • Strong organizational and computer/word processing skills, including redlining, the ability to multitask and manage several projects at one time
  • Detail oriented, team player, highly dependable
  • Excellent grammar, spelling, proofreading, oral, administrative and interpersonal skills


Physical Requirements:

  • Frequent standing and walking
  • Sitting for up to four hours at a time
  • Bending and stooping as needed
