We are seeking a Paralegal / Legal Assistant to join our small team
This position requires substantive experience in a transactional law practice. The ideal candidate would have at least five (5) years of experience in a transactional law practice. Essential job functions include those set forth below. Regular and predictable attendance is an essential function of the job. This is not a remote position.
Administrative Support
- Must have serious attention to detail
- Support one or two attorneys with document preparation, revisions, formatting
- Ability to research public documents, County Recorder filings, property history
- Advanced proficiency in Outlook, Word, Excel, and a document management system like Worldox required
- Handle calendars and schedule client meetings
- Filing
- Some bookkeeping, Quickbooks knowledge a plus
Corporate & Real Estate Transactional Experience
- Prepares first drafts of basic organization documents, articles, bylaws, shareholder agreements, stock certificates, stock ledger, etc.
- Compiles and maintains minute books and stock ledgers.
- Conducts research to assist attorneys with filings to obtain business licenses, fictitious business name statements and other filings in Sacramento County and San Francisco County primarily but not exclusively.
- Orders lien searches, preliminary title reports, and summarizes lien search results and PTR results.
- Files statutory filings, including amendments, dissolution documents, and statements of information.
- Assists in due diligence matters, closings.
- Prepares and files UCC statements, amendments and termination statements
- Create closing binders for sales, acquisitions, joint ventures, etc.
Compensation is $30 to $38 per hour depending on experience, plus work-life balance, health insurance, and retirement benefits. We pay the employee's full medical insurance cost and half of the employee's dependents medical costs. The current plan makes vision and dental available at your own cost.
