General Purpose: We are seeking a Corporate Contracts & Legal Assistant with substantial legal experience to bridge the gap between contract administration and legal. The ideal candidate will possess strong expertise in contract negotiation, review, and amendment, along with a working knowledge of document management systems.


Essential Duties & Responsibilities:
• Manage the lifecycle of contracts and legal documents related to corporate, commercial, employment, real estate, and intellectual property matters.
• Further implement and optimize the newly engaged IntelAgree document management system, ensuring its adoption across the organization.
• Docket, organize, maintain, and prioritize legal items, issuing calendar reports and tracking response deadlines.
• Assist in managing the patent and trademark docket, including IP asset management and payment of renewal and maintenance fees.
• Draft, review, and redline legal documents and correspondence.
• Liaise with IT to troubleshoot system issues and optimize data processing.
• Interface with customers, vendors, sales, and internal teams on a global scale.
• Help manage outside counsel and internal stakeholders with litigation document review, responses, discovery requests, and other related tasks.
• Serve as a liaison between Contracts Administration, Legal, and other stakeholders.

Qualifications:
• Proficient in Microsoft Office, Adobe, and DocuSign; experience with CRM and SAP is a plus.
• Substantial experience in a corporate legal department or law firm, with expertise in contract negotiation and intellectual property matters.
• Familiarity with electronic filing, document management, and docketing systems; IntelAgree, or the like, experience is highly preferred.
• Excellent analytical, troubleshooting, organizational, and planning skills.
• Ability to work independently and as part of a team.
• Strong follow-up and follow-through skills, with a high attention to detail.
• Ability to handle sensitive matters with confidentiality.
• Capable of managing multiple projects and shifting priorities effectively.
