Responsibilities:

  • Supporting the General Counsel and Chief Compliance Officer in maintaining policies and adhering to federal/state securities laws, regulations, and disclosure requirements and conduct regular assessments to identify compliance risks.
  • Research and advise on securities transactions, corporate deals, and various SEC-regulated processes.
  • Ability to advise on matters including employment, ERISA, litigation, 1940 Act, Investment Company Act, and similar regulations.
  • Drafting, reviewing, and negotiating a variety of contracts and agreements.
  • Provide proactive legal counsel and implement risk mitigation strategies in collaboration with relevant stakeholders.
  • Identify and assess legal and regulatory risks related to securities matters and other legal aspects while supporting the General Counsel and Chief Compliance Officer.
  • Work closely with external counsel, senior management, and various business units to provide strategic legal support.

Qualifications:

  • 3+ years of legal experience
  • License to paractice in Ohio
  • Strong understanding of federal/state securities laws, regulations, and corporate governance
