Attorney-Banker for Hedge Fund

Highly successful, 20+ year old boutique hedge fund is seeking an Attorney-Banker coming from a large law firm who does not want to go the traditional law firm partner route. The Attorney-Banker will work directly with the Investment Team and inside & outside counsel to structure deal documents and help negotiate new transactions. This position requires a candidate with a comprehensive understanding deal documents, excellent understanding of SEC listing rules and the ability to interpret SEC filings for U.S. listed public companies. The role will be 50% deal docs and 50% business/deal negotiation. Any Accounting skills are a huge plus.

Responsibilities

· Work closely with the Investment Team (which includes inside counsel) to understand deal structures and put together deal docs;

· Identify and assess legal/financial risks in connection with investment structures;

· Interact with company management (as well as outside counsel) at target investment companies to assist in structuring of proposed investments;

· Participate in Investment Committee meetings to discuss risks of potential investments, effectively communicate with the Investment Team;

· Travel with Investment Team members to attend on-site visits at current and potential portfolio companies 

Qualifications

· JD from a top law school

· Experience working on deal documents (could be public co’s or private co’s)

· Familiarity with public company SEC filings and listing rules

· 5+ years experience at Top Law Firm

· Excellent negotiation and communication skills

· Any Accounting background is a huge plus

· 3 or 4 days/week in the office
