Role Description

This is a full-time remote role for a General Counsel. While this is the most senior legal position in the company and part of the executive team, this is a hands on role that will involves document drafting and execution when necessary.


Responsibilities:

Legal Strategy and Compliance:

  • Develop and implement legal strategies to ensure compliance with federal, state, and local regulations governing solar energy projects.
  • Monitor and stay up-to-date with industry-specific legal and regulatory developments.

Contract Negotiation and Drafting:

  • Review, draft, and negotiate a wide range of agreements, including MIPA's, Debt and Tax Equity transactions and agreements, land leases, EPC and Procurement contracts, and other ancillary documents.

Real Estate Transactions:

  • Oversee the legal aspects of real estate transactions, including due diligence, land acquisition, easements, and title issues.

Litigation Management:

  • Coordinate with external legal counsel on disputes or legal proceedings involving the company.

Risk Management:

  • Identify potential legal risks and provide proactive advice to mitigate and manage them.

Corporate Governance:

  • Provide legal support for corporate governance matters, including board meetings, corporate filings, and compliance with corporate bylaws.


Qualifications

  • An active license to practice law in at least one US state
  • 7 years experience in contract negotiation, legal document preparation, and legal issues related to renewable energy and/or technology
  • Excellent research, analysis, and writing skills
  • Ability to communicate complex legal concepts to non-legal stakeholders
  • Strong attention to detail and organizational skills
  • Ability to work independently and remotely
  • A solid understanding of regulatory compliance and enforcement is a plus
  • Experience in the renewable energy industry is preferred
  • Juris Doctor degree from an accredited law school
