Orion Office REIT Inc. specializes in the acquisition, ownership, and management of a diversified portfolio of mission-critical and corporate headquarters buildings in suburban markets across the U.S. The portfolio is made up mostly of office, flex, government and medical buildings and is leased primarily on a single-tenant net lease basis to creditworthy tenants. Orion is publicly traded and internally managed, operating from offices in New York, NY and Phoenix, AZ.

JOB SUMMARY
Publicly traded real estate investment trust (REIT) is looking to hire an experienced corporate and/or real estate attorney to work directly with its general counsel and outside counsel on a variety of primarily corporate, real estate and SEC filing matters. This individual will be part of a three-person legal department responsible for all Company legal affairs with a portfolio of approximately 80 office properties located in the United States.
SPECIFIC RESPONSIBILITIES
- Legal aspects of all real estate transactions (such as leasing, property acquisitions, dispositions and financings), including drafting and/or reviewing leases and purchase and sale agreements, loan agreements, various ancillary documentation, conduct and coordinate due diligence, review and resolve variety of transaction issues
- Legal review and drafting of SEC filings, such as Forms 10K and 10Q, Form 8-Ks and Section 16 reports, coordinating exhibits to SEC filings
- Responsibility for annual meeting of stockholders, including drafting of annual proxy statement, prepare and conduct D&O questionnaires, plan and conduct annual meeting, interact with Company transfer agent on various matters
- Responsibility for overall corporate compliance and corporate governance functions, including policy drafting and updates, drafting Board resolutions and minutes, obtaining requisite Board of Directors and other internal approvals
- Draft and/or review a variety of day-to-day agreements, such as broker listing agreements, advisory engagement letters, property vendor contracts and confidentiality agreements
- Manage periodic litigation and dispute resolution matters
- Coordinate with accounting, property management and other Company departments on various legal and compliance matters
- Manage, train and develop one junior attorney on legal team
- Legal file and electronic data room document oversight and management
QUALIFICATIONS
- 5-10 years of corporate and/or real estate experience required
- JD from accredited law school
- Licensed to practice in AZ or NY preferred
- Strong computer and information technology skills desired.
- Intellectual curiosity and strong work ethic also desired.
COMPENSATION
Orion will offer the qualified candidate a total compensation package based on experience and qualifications.
