Our client, an AM 200 law firm, is seeking an associate with 3 to 6 years of experience to join its Employee Compensation & Benefits practice.
The successful associate will have experience in employee benefits, excellent organizational skills, and the ability to manage and prioritize multiple projects. They will stay updated on new laws, court decisions, and government regulations affecting employee benefit plans, serving as a trusted advisor and expert in the field.
Responsibilities include:
- Assisting clients in developing, drafting, implementing, and administering qualified and non-qualified retirement plans, health and welfare benefit plans, and other compensatory arrangements, including stock option plans, restricted stock plans, omnibus equity plans, cash bonus plans, employee stock purchase plans, executive retirement and supplemental benefit plans, and other deferred compensation arrangements.
- Handling the benefits aspects of mergers, acquisitions, financing, and other corporate transactions, including due diligence for compensation, retirement, and health and welfare benefit plans, reviewing transaction documentation, negotiating representations and warranties, and interfacing with internal and opposing counsel on deals and post-deal integration and support.
- Advising clients on negotiating and drafting employment agreements and consulting agreements.
- Advising clients on severance packages and releases.
Experience in the following areas is a plus:
- ERISA Fiduciary and Plan Asset work
- Affordable Care Act
- IRS Correction Program
- Department of Labor correction program
This position is based in the New York office, and NY Bar admission is required.
