COMPANY PROFILE:
AgTexas Farm Credit Services serves and supports approximately 2,600 member/borrowers in areas of lending, insurance sales, appraisal, and/or leasing. Eleven office locations can be found throughout the Association‘s 43-county trade territory, and the association has an average loan volume of approximately $2.85 billion, with total assets equaling $3.2 billion. The lending portfolio consists of cotton, livestock, dairy, feed grains, real estate, and ag-related business loans. Additionally, the association territory provides diversity in production and mortgage loans as well as commodities financed. Without strong financial backing farmers and ranchers will not survive, and people will not have food to eat or clothes to wear. AgTexas provides reliable credit and crop insurance to our member-owners, so they can feed and clothe the world.
POSITION:
The Attorney position is located in any AgTexas office, or remote and within 150 miles of an AgTexas office location, with a salary that is negotiable, depending upon experience.
*AgTexas, at its sole discretion, may offer this position with a different title based upon the qualifications of the candidate.
MINIMUM EDUCATION AND EXPERIENCE:
Juris Doctor degree from an accredited law school with a license to practice law in the State of Texas. Requires at least three (3) of transactional experience. Loan Documentation experience and/or Farm Credit System experience is preferred. The ideal candidate will have specialized knowledge in areas of law pertaining to real estate, mortgage lending/foreclosure and contracts, including debtor/creditor relationship; security interests; and bankruptcy. Additionally, specialized knowledge of the Farm Credit Act and regulations. Ability to review a CTI and identify and propose changes to the CTI. Be able to prepare the needed documents to close a transaction and have experience in preparing loan documentation. Be proficient in Article 9 and experience preparing UCC-1s and UCC-3s. Experience in Farm Credit, lending, title work and litigation and/or bankruptcy and a working knowledge of Dodd-Frank and the new CFPB regulations is strongly preferred. Ability to conduct legal research using electronic and/or manual sources. Familiarity with corporate and employment law. Relies on extensive experience and judgment to plan and accomplish goals. Performs a variety of tasks. May lead and direct the work of others. A wide degree of creativity and latitude is expected. This position requires good skill in oral and written communication. Candidate must be intermediate in skill level with Microsoft Office applications. Has considerable latitude for decision making.
JOB SCOPE AND PURPOSE:
Works with General Counsel to protect association‘s legal interest and to ensure that management is aware of the applicability of laws and regulations that impact or govern the association‘s operations, provide counsel to all levels of association‘s personnel, and analyze legal issues and present recommendations. Including documentation of complex loan transactions and title review and examination to determine lien status for the Association.
KEY RESPONSIBILITES:
- Prepares documentation for and assists association personnel with closing of complex loan transactions.
- Provides legal representation to the association for the protection of material interests and management of litigation on long and short-term loans. Oversees and provides legal counsel and legal advice and recommends and approves solutions and courses of action to affect the timely closing of loans.
- Reviews new regulations and/or laws related to the loan closing process and advises senior management as to operative changes necessary to achieve compliance.
- Reviews design and content of legal forms and revisions to existing forms in response to changes in regulations and policies; monitoring of applicable federal and state statutes, legislation, court decisions and regulations as they relate to operation of the association.
- Reviews and evaluates title examination work of outside attorneys and the performance of Association title and legal requirements and implements necessary corrective measures.
- Assists in handling the legal requirements of association mergers and other forms of association restructuring and territorial changes, including disclosures to stockholders.
- Reviews and evaluates work of outside attorneys and the performance of association legal function and implements necessary corrective measures. Supervises and directs outside counsel in conducting litigation, workouts, documentation, negotiations, settlements, and other legal matters for the association as required.
- Assists with preparation of content for reports involving material litigation provided to the board of directors.
- Assists with the review and/or drafting of contracts involving the association and recommends courses of action to the appropriate association staff.
- Confers with Loan Committee as needed.
- Confers with association personnel regarding legal issues surrounding loans.
WORKING RELATIONSHIPS:
Frequent interaction with association departmental staff and management. Occasional interaction with Farm Credit Bank of Texas staff. Occasional interaction with area professionals who deal with the association in the normal course of business.
