Reporting to the Chief Legal Officer & Head of People, the Director, Associate General Counsel will play a critical role in providing legal guidance and support across various aspects of the business, including commercial transactions, regulatory compliance, intellectual property, employment law, and corporate governance. This position requires a proactive legal professional with strong problem-solving skills, the ability to manage multiple projects, and a deep understanding of the retail and e-commerce landscape.
*The incumbent for this role must reside in California. We have offices located in SF/LA.
What you'll do:
Contract Management:
- Draft, review, and negotiate a wide range of contracts, including supplier agreements, licensing agreements, distribution agreements, and service contracts.
- Manage contract lifecycle from initiation to execution, ensuring that all contractual obligations are met.
Intellectual Property:
- Oversee the company's intellectual property portfolio, including trademarks and copyrights.
- Develop strategies to protect and enforce the company's intellectual property rights.
Corporate Governance:
- Assist with corporate governance matters, including board meetings, corporate filings, and maintaining corporate records.
- Support mergers and acquisitions, financings, and other corporate transactions.
Employment Law:
- Advise on employment-related matters, including hiring practices, employee relations, benefits, and terminations.
- Ensure compliance with labor laws and manage employment disputes.
Dispute Resolution:
- Manage and resolve legal disputes, including litigation, arbitration, and mediation.
- Coordinate with outside counsel as necessary.
Legal Advisory and Compliance:
- Provide strategic legal advice to the executive team and various departments.
- Ensure compliance with all applicable laws and regulations, including consumer protection, advertising, privacy, and employment laws.
- Develop and implement policies and procedures to mitigate legal risks and ensure regulatory compliance.
What you'll bring:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the state bar in California.
- Minimum of 5-7 years of relevant legal experience, preferably with a combination of law firm and in-house experience.
- Strong knowledge of commercial law, intellectual property, employment law, and regulatory compliance.
- Experience in the retail, fashion, or e-commerce industry is highly desirable.
- Excellent negotiation, drafting, and communication skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong analytical and problem-solving skills.
- High ethical standards and professional integrity.
