Paralegal II

Hybrid – Charlotte, NC

6-month Contract (W2), Weekly Pay (40 hours/week)

Pay Rate: $35.50/hr.

Desired Start Date: 9/9/2023


Calculated Hire is in search of a Paralegal II for our Fortune 100 Financial Services company. You will be responsible for the following components:


Job Description:

  • Participate in low to moderately complex initiatives and identify opportunity for process improvements within Paralegal.
  • Review and analyze basic or tactical Paralegal assignments or challenges that require research, evaluation, and selection of alternatives, related to low-to-medium risk deliverables.
  • Present recommendations for resolving low to moderately complex situations and exercise some independent judgment while developing understanding of function, policies, procedures, and compliance requirements.
  • Provide information to client personnel in Paralegal.
  • Maintain corporate records, minute books in appropriate systems of record/physical storage spaces.
  • Organize, coordinate board/shareholding meetings, including preparation, maintenance of meeting agendas, agenda planners, coordination, posting of meeting materials, preparation of meeting minutes; draft board/shareholder resolutions, written consents; draft, file annual reports or otherwise supporting the filing process.
  • Obtain good standing certificates from various states
  • Draft, file qualifications, withdrawal forms in foreign states, amendments to qualification registrations.
  • Administer and ensure integrity of data maintained in the company's electronic global entity management system (GEMS), including submission of legal entity information forms related to ownership information and other critical information.
  • Ability to with assist with Mergers and acquisitions
  • Incorporation, organization of new entities; dissolutions, liquidations.
  • Preparation of stock powers, handling stock transfers; special projects


Required Qualifications:

  • 2+ years of Paralegal experience, or equivalent demonstrated through one or a combination of the following: work or consulting experience, training, military experience, education.
  • Ability to serve as a Responsible Paralegal in support of the governance and reporting obligations of multiple legal entities in a fast-paced, deadline driven, collaborative environment
  • Experience working with an in-house legal entities team in a large financial services company
  • Understanding of Federal banking regulations and US state corporate law
  • Strong research skills
  • Excellent verbal and written communication skills
  • Strong analytical skills with high attention to detail and accuracy
  • Strong organizational, multi-tasking, and prioritizing skills
  • Ability to work independently with minimal direct supervision
