New York, United States Corporate Risk Solutions, LLC Full time

The Company: Corporate Risk Solutions, LLC (“CRS”) is a leading risk management and insurance advisory firm dedicated to the private equity and alternative investment community. Headquartered in New York, NY, our clients include over 90 private equity, hedge funds, distressed investors and hundreds of underlying portfolio company assets globally. For more information, please reference www.crslimited.com.

The Position: The position will quickly become a fully integrated member focused on two core areas within CRS risk management practice: Stewardship Advisory services and Transaction Advisory services. The successful candidate will bring the requisite skills and demonstrated experience to lead and execute across the following key areas:

Stewardship / Risk Management Staff Function:

• Identify and analyze the potential impact of exposures created by the basic operations of the client as well as those created through relationships with service providers, vendors, and customers.

• Strategically manage company insurance and risk renewals, helping to manage the brokers, identify new coverage extensions and cost reductions, at the same time working collaboratively with and directing the deliverables of the key brokerage relationships, insurance underwriters, adjusters, TPAs, legal counsel and other advisors as needed.

• Review all contracts, leases, vendor, and license agreements for compliance with established risk management and insurance requirements.

• Evaluate and negotiate insurance placement pricing, structure, deductibles, and policy wording for all policies and service agreements and conduct a cost-benefit analysis of program alternatives.

• Analyze loss data and prepare monthly reserve accrual worksheets for finance and safety teams.

• Collaborate with CRS client legal, human resources, audit committee, claims management team, and other relevant personnel to decide settlement strategies and other pertinent claim matters.

• Research, evaluate, and make recommendations regarding current and future state-of-the-art trends in risk management including cost-effective ideas on insurance purchasing and program structure, safety procedures, loss control, and claims management strategies.

Transaction Advisory:

• Manage the launch of new diligence campaigns by coordinating the collection of risk management data from data sites and assessing the integrity of existing risk finance programs.

• Work closely with other members of CRS clients’ finance, legal, and human resource working parties to be certain that all data is received and to work with the target or their investment advisor on missing elements or other clarification as needed.

• Analyze historical insurance policies for coverage deficiencies, adequacy of limits, and insurer solvency; provide general comments on specific elements potentially impacting transaction value or post-close cost of risk and create budgetary guidelines to the client as to the total cost of risk including any collateral requirements.

• Review historical expenses and loss accruals with other members of the finance and accounting team to identify any earnings issues.

• Analyze “critical flaws” potentially impacting the transaction and work closely with CRS client legal team on coverage or contractual risk management issues that need to be contemplated in the purchase agreement.

• Provide CRS actuarial partners with the data needed to review the reserve adequacy of self-insured or deductible accruals and provide direct access to the target’s claims personnel and third-party administrators.

• Identify any key challenges, hindrances, or risk matters that may impact the profitability of the transaction or add-on acquisition and guide the client through such items prior to investment.

• Once a brokerage partner is appointed to assist with the diligence campaign, post-close budget or any transactional risk finance products (D&O run-off, Reps & Warranties, Environmental, Tax Indemnities), the candidate will be ensured that brokers have access to all diligence data and are able to provide confirmation on final post-close budget;

• Manage the issuance and circulation of all closing certificates, binders, and endorsements from the brokers or insurers and confirm that credit agreement provisions comply.

Requirements:

• A minimum of 8 years in a corporate risk management or retail brokerage environment working within a multi-line, global platform.

• Must possess strong technical and analytical skills on all lines of coverage, be comfortable within a fast-paced, project-focused environment, and be adept at problem-solving and critical thinking.

• Exceptional communicator, capable of advising on business issues as they relate to risk and maintain open dialogue with clients.

• The ability to articulate a vision, operate at a strategic level, provide guidance and adopt an advisory approach that will be supported by technical credibility; and exceptional comfort and ability to provide sound advice and guidance to clients in various complex M&A transactional situations with a high degree of confidence.

• Effective project manager capable of overseeing the execution and delivery of multiple, complex assignments in a matrixed reporting environment.

• An exceptional stakeholder manager, able to deal with organizational complexity, and a relationship builder.

• A collegial, transparent, apolitical, results-driven team player.

• High degree of ‘intellectual horsepower’, reflected by first-rate intellect and agile mind with the ability to challenge conventions and provide creative and innovative solutions.

• Must hold a Bachelor’s degree from an accredited university/college.

• Professional Accreditation and Certification in one or more of the following is preferred: ARM, CPCU, CRM, FRM, or RF.

• If the Candidate possesses a Master’s degree and/or JD is a strong plus. Past experience in M&A, private equity, and insurance due diligence is also a significant plus.

Compensation: CRS offers a highly attractive compensation package that will include a base salary, benefits & 401k, and may be eligible for a discretionary annual bonus, depending on individual and firm performance (at CRS’ sole discretion and decision).

CRS is an equal-opportunity employer. All applicants will be considered for employment without attention to race, color, religion, sex, sexual orientation, gender identity, national origin, veteran or disability status.
