Job Summary:

The Paralegal is responsible for managing various legal matters including contracts, agreements, and filings, pertaining to Bolton Medical, Inc. d/b/a Terumo Aortic and certain of its subsidiaries and affiliates (collectively “TA”), including commercial sales and operations, business development, corporate governance, intellectual property and healthcare compliance. The role will assist with the drafting, review, and negotiation of contracts and terms and conditions, data collection, compiling and organizing materials, as well as preparing presentations of varying complexity. Additionally, the Paralegal will provide legal support to other individuals in the Legal and Compliance Department to best manage TA’s legal activities and minimize the risk to the business. These may include providing support for intellectual property tasks and projects like processing innovation disclosures and patent searches.



Job Details:

Prepare, review and/or revise and negotiate complex contract agreements.

Assist in the management of the department’s contract management system.

Manage contract lifecycle from inception through execution of contracts, including organizing electronic contract and matter records as needed.

Manage company-wide confidentiality/non-disclosure agreements from review, drafting and markup and participate in negotiation and execution as well as return of documents and document destruction upon termination of confidential disclosure agreements.

Manage cross-functional coordination with Terumo associates requesting legal’s review or preparation of contracts to understand objectives, business needs and expectations.

Apply foundational understanding of contract law, commercial contracts, and interaction within the healthcare industry.

Craft and cascade best practices in management of commercial contracts, including template management, review and design, including through Contracts Management System

Analyze problems, determine approach, compile and analyze data and prepare reports/recommendation

Coordinate contracting between various affiliated entities and outside parties.

Perform work of a critical and/or confidential nature and work on assignments that span across various functional areas.

Receive and process innovation disclosure documents from TA inventors.

Structure and manage searches of one or more patent databases, review and filter the results, and report to stakeholders.

Perform other job-related duties as assigned.


Position Requirements:

Proven ability to maintain confidentiality with sensitive information

Proven ability to negotiate, draft, and revise contract terms and conditions

Proven ability to work within internal policies and terms negotiations

Must be proficient in Microsoft Excel, Word, PowerPoint, and Outlook

Ability to communicate effectively both verbally and in writing

Strong sense of urgency with the ability to handle multiple tasks with appropriate prioritization/organizational skills

Ability to work independently function with minimal supervision

Versatile, flexible and a willingness to work within constantly changing priorities

Strong attention to detail

Ability to analyze data and prepare reports in support thereof

Willingness to learn new skills/techniques and work beyond general area of responsibilities

Ability to work with field sales organization, other internal associates and stakeholders in a positive and solutions-oriented capacity

Ability to understand commercial objectives, internal policies, and interaction within contracting and healthcare industry


Background Experiences

Bachelor’s degree and minimum 5 years’ experience with direct contracting in a relevant law firm and/or corporate setting is required.

Paralegal certificate with medical device, pharmaceutical experience is preferred or equivalent combination of education, training and comparable experience.

Contracts Management Systems knowledge, preferably in SAP

Familiarity with intellectual property including patents and patent databases.

Experience specifically in medical device contracting environment strongly preferred.

Strong organizational skills and a general understanding of business operations required.

Understanding of basic legal concepts required.
