Job Description

Terumo Aortic is seeking a highly skilled Contract Management Specialist to join its Legal and Compliance Department. As a Contract Management Specialist, you will play a critical role in managing various commercial contracts, including agreements, filings, and negotiations, to support the company's business development, corporate governance, and healthcare compliance.

Key Responsibilities:
  • Contract Preparation and Review: Prepare, review, and negotiate complex contract agreements, ensuring compliance with company policies and industry standards.
  • Contract Management System: Assist in the management of the department's contract management system, ensuring accurate and up-to-date records.
  • Contract Lifecycle Management: Manage contract lifecycle from inception through execution, including organizing electronic contract and matter records.
  • Confidentiality Agreements: Manage company-wide confidentiality/non-disclosure agreements, including review, drafting, and negotiation.
  • Cross-Functional Collaboration: Coordinate cross-functional activities with Terumo associates to understand objectives, business needs, and expectations.
  • Contract Law and Industry Knowledge: Apply foundational understanding of contract law, commercial contracts, and interaction within the healthcare industry.
  • Best Practices and Template Management: Craft and cascade best practices in management of commercial contracts, including template management, review, and design.
  • Problem-Solving and Analysis: Analyze problems, determine approach, compile and analyze data, and prepare reports and recommendations.
  • Contracting and Negotiation: Coordinate contracting between various affiliated entities and outside parties.
  • Confidential and Critical Work: Perform work of a critical and/or confidential nature and work on assignments that span across various functional areas.
  • Innovation and Patent Management: Receive and process innovation disclosure documents from TA inventors and structure and manage searches of one or more patent databases, review and filter the results, and report to stakeholders.
Requirements:
  • Confidentiality and Negotiation Skills: Proven ability to maintain confidentiality with sensitive information and negotiate, draft, and revise contract terms and conditions.
  • Internal Policy Compliance: Proven ability to work within internal policies and terms negotiations.
  • Technical Skills: Proficiency in Microsoft Excel, Word, PowerPoint, and Outlook.
  • Communication and Organization: Ability to communicate effectively both verbally and in writing and strong sense of organization and ability to handle multiple tasks with prioritization.
  • Independence and Adaptability: Ability to work independently with minimal supervision and versatile, flexible, and willingness to work within constantly changing priorities.
  • Attention to Detail: Strong attention to detail and ability to analyze data and prepare reports in support thereof.
  • Continuous Learning: Willingness to learn new skills and techniques and work beyond general area of responsibilities.
  • Collaboration and Stakeholder Management: Ability to work with field sales organization, other internal associates, and stakeholders in a positive and solutions-oriented capacity.
Preferred Qualifications:
  • Education and Experience: Bachelor's degree and minimum 5 years' experience with direct contracting in a relevant law firm and/or corporate setting.
  • Paralegal Certificate and Medical Device Experience: Paralegal certificate with medical device, pharmaceutical experience is preferred or equivalent combination of education, training, and comparable experience.
  • Contracts Management Systems Knowledge: Contracts Management Systems knowledge, preferably in SAP.
  • Intellectual Property Knowledge: Familiarity with intellectual property, including patents and patent databases.
  • Medical Device Contracting Experience: Experience specifically in medical device contracting environment strongly preferred.
  • Business Operations and Legal Knowledge: Strong organizational skills and a general understanding of business operations and understanding of basic legal concepts.
