Position Overview: My client is seeking a highly skilled and experienced Senior Corporate Counsel to join their legal team. The ideal candidate will have a strong background in corporate law, with a focus on providing strategic legal advice and support across various aspects of corporate operations. This role will involve working closely with internal stakeholders to identify and mitigate legal risks, ensure compliance with regulations, and support the company's strategic objectives.


Key Responsibilities:

  1. Manage all aspects of corporate governance, including board meetings, resolutions, minutes, and compliance with corporate governance best practices.
  2. Draft, review, and negotiate a wide range of commercial agreements, including but not limited to, vendor contracts, customer agreements, partnership agreements, and licensing agreements.
  3. Provide legal support for mergers, acquisitions, divestitures, and other strategic transactions, including due diligence, negotiation, and drafting of transaction documents.
  4. Ensure compliance with applicable laws, regulations, and internal policies, including but not limited to, securities laws, data protection regulations, and anti-corruption laws.
  5. Identify legal risks and develop strategies to mitigate such risks, including the implementation of appropriate policies and procedures.
  6. Collaborate with senior management to develop and execute corporate strategies, providing legal guidance and support as needed.
  7. Manage and oversee corporate legal disputes, including litigation, arbitration, and alternative dispute resolution mechanisms.
  8. Stay abreast of legal developments relevant to the company's business and provide timely and accurate legal advice and analysis.


Qualifications:

  1. Juris Doctor (JD) degree from an accredited law school.
  2. Admission to the Bar in [State/Country].
  3. 8+ years of experience practicing corporate law, preferably with a focus on generalist corporate work.
  4. Strong understanding of corporate governance principles and best practices.
  5. Proven ability to draft and negotiate complex commercial agreements.
  6. Experience advising on mergers, acquisitions, and other strategic transactions.
  7. Excellent analytical, communication, and interpersonal skills.
  8. Ability to work independently and collaboratively in a fast-paced environment.
