Job Description:

We are seeking a highly motivated and qualified individual to join our Legal Department as a Contract Attorney and work as part of a team to drive success. Ideal candidates will be self-motivated, independent, and highly flexible within a fast-paced environment.

In the Contract Attorney role, this individual will be the primary contact responsible for drafting and negotiating a wide range of contracts and will actively collaborate with colleagues across disciplines and contribute toward creative problem solving.

Our ideal candidate will bring strong relevant law firm or in-house experience. In this role, the individual will have the opportunity to interact and collaborate with all levels of the organization including our clinical, research and finance teams as well as external organizations. This role is expected to grow with the company as we discover and develop life-saving therapies for patients in need.

Essential Responsibilities:

  • Manage company CLM, including tracking and monitoring all requests, ensuring proper recording of contracts on the system, and tracking of important legal provisions.
  • Draft, review and negotiate contracts across all areas of the organization, including but not limited to, non-disclosure, vendor, collaboration, licensing, and clinical trial agreements.
  • Draft and update appropriate templates and work with stakeholders to develop contract strategies to support the organization.
  • Engage appropriate internal subject matter experts to assist with and participate in information gathering, document development, contract and issue reviews, and contract negotiation.
  • Prepare contract summaries to assure proper interpretation of contracts (e.g., milestones, obligations, deliverables, invoicing etc.) and advise on same.
  • Generate reports and respond on a timely basis to ad hoc data requests from internal stakeholders.
  • Drive increased efficiency, coordination, and effectiveness of contract processes to meet the needs of the business.
  • Provide training and guidance on contract processes to internal stakeholders.
  • Presentation of results in both written and oral format and delivery of completed reports within a multidisciplinary team.
  • Support internal stakeholders on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to terms of contracts.
  • Work collaboratively with IT, Finance, and other internal stakeholders to implement and manage enhancements to systems.
  • Establish and maintain excellent working relationships with external stakeholders.
  • Maintain all appropriate corporate standards for facility safety.
  • Other duties as assigned.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Minimum 3+ years of experience of corporate contract experience, including developing, negotiation and managing a wide variety of contracts.
  • Current on legal/regulatory updates affecting contracts and agreements.
  • Strong analytical skills.
  • Demonstrated organizational skills and ability to manage multiple projects at once, drive execution and meet critical deadlines.
  • Understanding of project timelines and deliverables and plans/coordinate project work accordingly with departmental, functional, and external stakeholders.
  • Strong communication, interpersonal, and negotiation skills; excellent oral and written communication skills with experience in reviewing and redlining legal documents.
  • Strong problem-solving skills and a proactive attitude towards exploring new approaches.
  • Advance working knowledge of Microsoft Office Suite Products, Adobe Pro. DocuSign.

Preferred Qualifications:

  • Prior in-house experience in a public biotech and/or pharmaceutical company preferred.
  • Experience managing CLM software a plus.
  • CA Licensed.

Compensation:

  • This is a full-time position, Monday-Friday, occasional overtime.
