(Hybrid/Remote)A mid-sized law firm serving government contractors and commercial businesses is seeking a Partner with 10+ years of corporate law experience to join its Business & Transactions practice group. This is a leadership role for a seasoned attorney with a strong background in corporate transactions and deal-making. A portable book of business is preferred but not required.Required Qualifications: 10+ years of relevant corporate legal experience Demonstrated experience in M&A and complex business transactions Strong drafting, negotiation, and communication skills Detail-oriented with the ability to manage and lead legal teams Admitted to practice law in or eligible for prompt admission to the District of Columbia BarPreferred: Admission to the Maryland and/or Virginia Bar Experience working with government contractors Licensing, tax, or antitrust experience is a plusKey Responsibilities: Lead and manage complex Mergers & Acquisitions transactions, including oversight of internal and external legal teams Draft, review, and negotiate a variety of agreements, including: Purchase and sale agreements, Financing documents, Transactional and governance agreements Coordinate and oversee due diligence efforts and transaction closings Represent buyers and sellers in a wide range of corporate transactions including: Mergers, Asset and equity purchase/sale transactions, Business restructurings, Financing rounds from private investors, private equity, and venture capital firms, Advise on executive compensation, synthetic equity offerings, and employee incentive plans Provide legal counsel on entity formation and structuring, including: LLC agreements, Shareholders and partnership agreements, Commercial lending transactions.Work Environment:This is a hybrid role with flexibility to work from our Washington, DC or Annapolis offices.
