Contract Specialist

 

Job Summary

 

The Contract Specialist is an experienced individual responsible for preparing agreements and amendments for new and existing providers, vendors, consultants, and other stakeholders on behalf of OrthoVirginia. This position is responsible for the coordination, processing, and maintenance of the contracting process under the supervision of the Chief Legal Officer.

 

This role is a critical member in helping business leaders as they develop and implement action plans that impact OrthoVirginia’s mission to champion healthy, vibrant, active communities one person at a time.

 

The Contact Specialist or Paralegal will collaborate closely with leadership and cross-functionally to provide communications and negotiate contracts, ensuring financial and operational goals are met while building positive relationships with others.

 

With minimal supervision, the Specialist is responsible for assisting with contract management in accordance with OrthoVirginia policies and procedures. The Specialist assists with oversight and preparation of contract fulfillment requirements.

 

Job Duties:

  • Oversees and prepares contract documents from the initial stages through execution.
  • Ensures contracts have state and federal required legal clauses and/or revisions.
  • Reviews, negotiates, drafts, revises, and amends contracts to ensure compliance with OrthoVirginia policies and procedures.
  • Coordinates the work of various departments and acts as liaison between the Legal Department and external and internal stakeholders.
  • Collaborates with departmental staff, legal team, administration, and other personnel involved with contract development and approval processes.
  • Makes recommendations to the management team for improvement of procedures and systems.
  • Performs contract monitoring throughout the lifecycle of the contract including renewals, amendments, and terminations.
  • In consultation with the Chief Legal Officer, support subsidiary and parent company corporate secretarial functions, including preparation of written consents and resolutions.
  • Manages due diligence data rooms for M&A activity, including establishing data rooms, collecting and uploading requested due diligence documents and serving as point person for uploading due diligence from other responsible parties.
  • Performs all other duties as assigned.

 

Education:

  • Bachelor's degree or related/equivalent experience is required.
  • Working knowledge of theory and practice of contract management and of a corporate paralegal.

 

Experience:

  • Five+ (5) years of experience in the contract field. Paralegal certificate OR J.D. highly preferred.
  • Healthcare contracting experience highly desired.

 

Compliance Responsibilities:

  • Compliant with all federal and state statutes including OSHA.
  • Compliant with all AAAHC (Accreditation Association for Ambulatory Health Care) standards and OV policies.

 

Physical Demands:

  • Work is performed in an office environment. Substantial movements (motions) of the wrists, hands, and/or fingers.
  • The worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading.
