Position Overview:

They are seeking a dynamic and experienced legal professional to join their experienced team as the Senior Counsel. In this role, you play a pivotal role in shaping their legal department and work directly with senior executives. In this role, you will be responsibility for managing legal matters related to real estate, mergers and acquisitions, project development, and project finance for their growing pipeline.


Responsibilities:

  • Lead the legal function, providing strategic guidance and oversight in M&A, joint ventures, project development, and project finance activities.
  • Manage project finance activities, including debt and equity financing, tax equity transactions, and credit facilities.
  • Draft and negotiate membership interest purchase agreements, asset purchase agreements, power purchase agreements, EPC contracts, interconnection agreements, O&M agreements, joint venture agreements, joint development agreements, and other necessary agreements.
  • Provide legal guidance and support to various departments, including Operations, Finance, and Business Development.


Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
  • Must have a minimum of 3 years of legal experience with in the renewable energy industry.
  • Must have 3+ years of experience with mergers and acquisitions, project development, and project finance transactions in the renewable energy sector.
