Sphera Search is working with the Cleveland office of a national law firm on its search for a partner level corporate attorney with at least seven years of private equity and M&A experience. A book of business is not required for this role. This firm often attracts top AmLaw talent because of its lower billable hour requirement coupled with a highly competitive compensation system.

Responsibilities: As a Corporate Partner specializing in private equity and M&A, your day-to-day activities will include


  • Leading and managing a team of attorneys in the execution of complex corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.
  • Providing strategic legal advice to clients involved in private equity investments, guiding them through the intricacies of structing deals, negotiating terms, and navigating regulatory compliance.
  • Conducting due diligence reviews to assess the legal and financial risks associated with potential transactions, ensuring that clients are well-informed before proceeding.
  • Drafting and negotiating a wide range of transactional documents, including purchase agreements, shareholder agreements, and disclosure schedules.
  • Collaborating with other practice groups within the firm, such as tax, finance, and regulatory compliance, to provide comprehensive legal solutions to clients.
  • Cultivating and maintaining strong relationships with clients, serving as a trusted advisor and strategic partner.
  • Staying abreast of industry trends, legal developments, and market dynamics affecting the M&A landscape, and sharing insights with clients and colleagues.


Qualifications:

  • JD
  • Admission to the Ohio State Bar (or eligible for admission upon hiring).
  • Minimum of seven (7) years of experience practicing corporate law, with a focus on private equity transactions and M&A.
  • Proven track record of successfully managing complex corporate transactions from inception to closing.
  • Strong business acumen and understanding of the financial and commercial aspects of deal-making.
  • Excellent communication skills, with the ability to effectively articulate complex legal concepts to clients and colleagues.
  • Client-focused mindset with a commitment to delivering exceptional service and achieving favorable outcomes.
