The Role

We are seeking a Corporate Counsel with at least 3 years of private practice experience (or a combination of private practice and in-house experience) in commercial contracts, strategic partnerships and transactions, M&A, and corporate governance to join our dynamic legal team. This role will provide critical support in all facets of our general commercial, corporation transactions and corporate governance matters, including commercial contract negotiations, strategic investments, IP licensing deals, joint ventures, M&A, and entity formation and management. The candidate will work closely with the Assistant General Counsel and the Strategic Investments team, offering a unique opportunity to contribute to the strategic execution of our national business strategy.

Responsibilities

Manage, with the supervision of the Assistant General Counsel, transactions from start to finish, including drafting NDAs and term sheets, organizing and managing the due diligence and closing processes, drafting definitive transaction documents, working cross-functionally with business leaders to prepare for closing, executing the closings, and supporting post-closing integration processesWork alongside the Senior Corporate Commercial Counsel in drafting, reviewing and negotiating contracts and ancillary agreements, including non-disclosure agreements, customer contracts, supplier and vendor agreements, IT and software agreements, bid documents, and various other documentsWork closely with the Strategic Investments team to drive strategic execution of business strategy and underwrite investment opportunities, including supporting mergers, acquisitions, investments, strategic partnerships and licensing agreementsCoordinate with regulatory and compliance team leaders to help adapt the corporate strategy to evolving regulatory and compliance standards, rules and regulations across national footprintProvide corporate governance support, including preparing written consents and resolutions, and otherwise assisting in managing the corporate books and records for the Company and its subsidiariesManage corporate governance processes and work with teams of paralegals and compliance professionals to ensure strict corporate governance standards are metSupport the Company’s subsidiary formation and managementAssist business clients with contract and other commercial disputes that may arise, working with appropriate legal colleagues and directly with outside counsel, as needed.Provide legal advice to internal stakeholders in various departments, including procurement, sales, marketing and IT, on a variety of issues.Provide practical commercial and legal advice to facilitate operational decision-making and strategic planning.Flag and escalate appropriate matters to other subject matter experts, including the litigation, commercial transactions, and regulatory compliance teams.Coordinate with cross-functional partners (Finance, Tax, HR, Regulatory) and business leadership to structure transactions and close acquisitions.Support preparation of deal-related materials for executive leadership teams and participate in meetings as necessary.Assist in managing complex and sensitive projects end-to-end with cross-functional teams.Perform special assignments or projects, without significant supervision, as assigned by Assistant General Counsel

Qualifications

JD degree and at least one state bar admission in good standing.A minimum of 3 years of experience in general corporate matters, with a demonstrable history of supporting mergers and acquisitions, investments, partnerships and commercial contract negotiations.A desire to work in a fast-paced, high-energy environment with exceptional organizational and planning skills, capable of handling multiple high-visibility projects simultaneously.Strong working knowledge of corporate governance rules and standards.Strong negotiation skills and the ability to work collaboratively and effectively with internal and external stakeholders.Demonstrated business and financial acumen with a voracious learning mindset.Excellent communication skills
