Senior Legal Counsel

Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring an attorney to serve as Senior Legal Counsel, Corporate. The Senior Counsel will manage sophisticated legal matters while interacting with senior business leadership and managers around the company, including the General Counsel and members of the C-Suite, and will serve a critical role in supporting the company's global parent company with various legal issues. This role will report to the Vice President, HSE Policy and Deputy General Counsel. The role is based in the Company's U.S. headquarters just outside of Philadelphia, with 4x a week in office required.

The ideal candidate will have at least 5 years of experience with corporate and commercial transactions. This is an excellent opportunity for a talented attorney who is results oriented, intellectually curious, and enjoys being a member of a collaborative and top-notch legal team.

Responsibilities Include

• • Providing legal support to the company's corporate legal function including supporting M&A, financing, corporate governance, and other corporate law matters.
  • Supporting the company's Integrated Supply Chain, including Procurement, Operations, Real Estate and/or Human Resources on a variety of legal matters.
  • Drafting and hands-on negotiation of a variety of commercial and other agreements and corporate documents.
  • Supporting international matters from time to time.
  • Acting with a high level of independence, while safeguarding the Company's strategic objectives from a legal perspective.

Qualifications

• • Strong academic credentials, including a J.D. or equivalent degree from a well-respected U.S. law school with license to practice in at least one state.
  • 5+ years relevant working experience, with strong training at a top-rated national or international law firm. Prior in-house experience strongly preferred.
  • Extensive experience in drafting, reviewing, and negotiating a wide range of commercial agreements and other legal documents (including sales and purchase contracts and distribution agreements).
  • Experience in supporting M&A transactions, including due diligence reviews and integration planning/implementation.
  • Outstanding legal reasoning and analysis and strategic thinking ability with good judgment and strong negotiation skills.
  • Experience in environmental, health and safety legal matters is a plus.
