DescriptionPosition Overview:

Angel Oak Capital Advisors is seeking a highly experienced legal and strategic professional to work closely with business partners on residential mortgage whole loan transactions, financing and warehouse lending structures, RMBS securitizations, formation of private investment funds and vehicles, entity governance for affiliated entities and capital markets. This role requires deep expertise in legal documentation, financial structuring and cross-functional coordination. The ideal candidate will be a proactive leader with strong project management skills and the ability to navigate complex legal and financial frameworks.



Key Responsibilities:

Whole Loan and Financing Transactions

Negotiate, draft and review Mortgage Loan Purchase Agreements (MLPAs) for loan sales, ensuring alignment with financing and securitization terms. Coordinate settlement logistics and associated documentation. Maintain active MLPA details and ensure proper documentation and archiving. Lead legal diligence and document negotiation for warehouse financing, coordinating across legal, operations, accounting, risk, and trading teams. Manage amendments, waivers, and covenant tracking across financing structures.RMBS Securitization

Oversee engagement and documentation with capital markets counterparties and counsel. Review and update legal and disclosure documents for accuracy, entity alignment, and risk disclosures. Coordinate with U.S. and Cayman counsel for opinions and certifications. Ensure loan loss mitigation proposals comply with offering documents.Project Management & Coordination

Lead weekly team calls and maintain project status charts. Serve as central coordinator across legal, fund raising, accounting, operations, risk, and compliance teams. Manage servicing agreements and document repositories.

Fund Formation and New Strategy Development

Support business partners in fund/Separately Managed Account structuring, diligence, and investor negotiations. Draft initial documents, including investment management agreements, MLPAs, servicing agreements, custody agreements, trust agreements and subscription documents.   Draft and maintain fund structure charts. Coordinate operational readiness with business and other control-side partners for strategy launches, including account setup, appropriate registrations, and custody/servicing arrangements. Maintain fund documentation and manage amendments.

Entity Governance

Maintain board action repositories, affiliate loan trackers, and governance calendars. Prepare and coordinate board and committee meetings, including agendas, minutes, logistics, and data rooms. Draft and review SEC filings (10-Q, 10-K, 8-K) and proxy materials. Manage governance documents, trading blackout procedures, and whistleblower reports. Oversee director onboarding/offboarding processes.

Capital Markets

Support capital raising efforts of the Funds including ATM programs and debt issuances. Draft and maintain RSA and PSU agreements for stock grants. Coordinate Section 16 filings with internal stakeholders.

Qualifications
Qualifications:

J.D. from an accredited law school; active bar membership required. 8+ years of experience in structured finance, fund formation, RMBS securitization, and/or whole loan and financing transactions. Strong understanding of legal documentation, financial instruments, and regulatory frameworks. Exceptional organizational, negotiation, and communication skills. Proven ability to lead cross-functional initiatives and manage complex projects.
