Job Title: Corporate Counsel (Nasdaq-Listed Company)

Location: Irvine, CA (Monday to Friday, 9:00 AM – 5:00 PM, on-site required)

Language Requirement: Fluent in Mandarin Chinese and English

Key Responsibilities:

· Assist in handling public company filings and compliance matters, including but not limited to S-1, S-3, 10-Q, 10-K, and proxy statements, etc.

· Draft, review, and manage internal corporate legal documents, including board resolutions, business contracts, and employment agreements, etc.

· Support corporate governance functions by preparing and filing periodic reports with government agencies, including annual reports, statements of information, and other regulatory filings required to maintain the company's good standing.

· Coordinate with external law firms in areas such as securities law, corporate law, and litigation, etc.

· Liaise with key external institutions, including investment banks, transfer agents, IR/PR firms, printers, proxy agents, and D&O insurance brokers.

· Support corporate financing activities and assist with strategic transactions such as mergers, acquisitions, and other corporate development initiatives.

Qualifications:

· Fluency in English and Mandarin Chinese required

· Strong foundation in corporate law, contracts, and securities law.

· Excellent drafting, analytical, and organizational skills.

· Ability to manage multiple priorities and work in a fast-paced environment.

· Strong communication skills and ability to coordinate with both internal stakeholders and external partners.

· Prior in-house or law firm experience preferred but not required.

Additional Information:

This role offers exposure to the full operational spectrum of a U.S.-listed public company and is ideal for candidates looking to grow into a strategic operations or corporate affairs role. Occasional morning or evening availability (2–3 times per month) may be required to support coordination with international or East Coast teams.

  • Salary Range: $70-$90K, depending on qualifications
