Summary:
The Prime Contracts Manager is a key individual contributor who assesses and formulates Strata's commercial positions for, and negotiates, some of Strata's most complex contracts. Given Strata's role as both a project developer/owner and an EPC contractor for renewable energy projects, this role provides a key driving force for completing both sell-side and buy-side prime contracting. The Prime Contracts Manager supports the business development team's contracting and deployment goals for Solar and BESS projects, helping drive collaboration across business units to support overall company growth.
The Prime Contracts Manager leads the review, negotiation, and handoff of various term sheets and agreements necessary for building, owning, and operating renewable energy projects. This includes prime contracts like Engineering, Procurement, and Construction Agreements (EPCs) and Operations and Maintenance Agreements (O&Ms). Additionally, the role involves developing contract templates, benchmarking market standards, and improving contract-related processes.
Essential Duties and Responsibilities:
Working with the Sr. Director, Contracts to prioritize projects, it is expected that the Prime Contracts Manager will split time among the following responsibility areas:
Contract Development & Execution
- Independently review and drive internal feedback processes to support negotiation and signature of EPC, O&M, LTSA, and other operational agreements.
- Lead communications with counterparty teams during in-person (or virtual) negotiations to bring contracts and all exhibits to acceptance by both parties.
- Explain to internal and external teams the competing positions taken by the parties during negotiations to identify areas of alignment, disagreement, and identify or elicit acceptable middle grounds.
- Engage with supporting resources to track contract negotiation progress and ensure timely execution.
- Provide regular updates to senior management on contract status, risks, and opportunities.
- Ensure compliance with company policies and regulatory requirements.
- Maintain accurate records of all contract documents.
Process & Organization
- Improve processes and internal knowledge bases related to contract review and negotiation, focused on prime agreements.
- Prepare summaries and post-signature handoff packages for project execution teams.
- Collaborate across departments to ensure feedback loops and data sharing.
Assist with other commercial operations and contract-related tasks as needed.
Supervisory Responsibilities:
Depending on candidate, may range from none to supervisory responsibilities for limited support staff
Education and/or Work Experience Requirements:
Undergraduate degree in business, law, or project management.
8+ years of experience in contract formation and negotiation with a focus on EPC contracting.
Demonstrated experience actively and independently leading in-person negotiations for both terms and exhibits, including synthesizing information from multiple sources to formulate commercial solutions and make commercial decisions in real-time during negotiations.
Ability to interpret and explain business reasoning behind contract provisions and redlines.
Experience with spreadsheets, models, or tools for commercial impact analysis.
Strong interpersonal, project management, and communication skills.
Understanding of the renewable energy industry and relevant regulations.
Proficiency in Microsoft Office.
Ability to propose redlines or initial drafts of contract language.
