ROLE STRUCTURE (READ CAREFULLY)

This role is employed by AC Tech and seconded to Agelon, Inc. under a formal intercompany

services agreement.

During the contract period, compensation and payroll are handled by AC Tech. Day-to-day

functional authority, regulatory designation, and compliance decision-making authority

reside with Agelon.

The successful candidate will be named in MSB and state Money Transmitter License (MTL)

filings as Agelon's designated compliance lead and is expected to convert into Agelon's Chief

Compliance Officer (CCO) following licensing milestones and operational scale.

ABOUT AGELON

Agelon is building compliance-first fintech infrastructure for private-fund real-world assets

(RWA).

Phase 1 focuses on fiat-only private fund subscription and redemption flows supported by a

ledger-based ownership system and bank-led custodial accounts. Phase 2 introduces

tokenized fund interests following virtual-currency licensing amendments.

Agelon integrates:

• MSB and multi-state MTL licensing

• Custodial compliance and bank diligence

• Ledger-based fund flows and reconciliation

• Regulator- and audit-ready reporting

• Future tokenized RWA controls (ERC-1404)

This is not a policy-only role. We are hiring someone who can operate at the intersection of

regulation, technology, and product.

WHY THIS ROLE IS CONTRACT-TO-HIRE

Agelon is entering MSB/MTL licensing and bank diligence. Regulators require a designated

compliance leader, but full-time workload scales materially after licensing and custodial

operations begin.

This structure:

• Meets regulator expectations for accountable compliance leadership

• Preserves cost efficiency during pre-revenue licensing

• Creates a clear path to a senior executive role (CCO)

KEY RESPONSIBILITIES

1. MSB / MTL LICENSING & REGULATOR ENGAGEMENT

• Lead compliance deliverables for MSB registration and state MTL applications

• Prepare bank diligence and licensing documentation

• Manage regulator communications, RFIs, renewals, and reporting

• Produce system artifacts including flow diagrams, screenshots, audit logs, and narratives

1. OWN AND OPERATE AGELON'S AML PROGRAM

• Maintain AML, KYC, KYB, and OFAC policies

• Design EDD, SAR, and CTR workflows

• Oversee onboarding, screening, and monitoring controls

• Define user risk scoring and approval structures

1. COMPLIANCE + TECHNOLOGY INTEGRATION (CORE REQUIREMENT)

• Partner directly with engineering to ensure:

– KYC/KYB data handling meets regulatory standards

– Ledger design supports custody, reconciliation, and audits

– Admin approval logic meets MSB/MTL expectations

– Audit logs and retention policies are regulator-ready

– Dashboards support bank and regulator reporting

1. TOKENIZED RWA & BLOCKCHAIN CONTROLS (FUTURE PHASE)

• Design restricted transfer and whitelisting frameworks (ERC-1404)

• Map investor accreditation to wallet permissions

• Support on-chain/off-chain reconciliation

• Draft virtual-currency compliance roadmap

1. CROSS-FUNCTIONAL LEADERSHIP

• Partner with legal, banking partners, and engineering

• Train engineering and operations on compliance requirements

• Review product features prior to launch

• Bridge communication between US leadership and China-based engineering teams

REQUIRED QUALIFICATIONS

• 3+ years in fintech, MSB, crypto, or digital asset compliance

• Strong working knowledge of MSB and MTL requirements

• Hands-on AML, KYC/KYB, and OFAC experience

• Ability to interpret system diagrams, workflows, and data structures

• Experience preparing bank diligence packages

PREFERRED QUALIFICATIONS

• Tokenization or ERC-1404 experience

• Private fund familiarity (Reg D, Reg S, Reg A+)

• Transaction monitoring system experience

• CAMS or CRCM certification

SUCCESS METRICS (FIRST 6 MONTHS)

• One custodial MSB bank account approved

• First wave of MTL applications fully prepared

• Compliance dashboards and audit logs operational

• End-to-end KYC/KYB workflow live

• Virtual-currency compliance roadmap drafted

• Key regulatory and control gaps identified with remediation plans
