The Team:
Celonis' Corporate Development team partners with leadership to identify and execute acquisitions and strategic investments to support our corporate and product strategy.
The Role:
The Corporate Development Director will lead the sourcing, evaluation, execution and integration of mergers and acquisitions (M&A) and strategic investments. The ideal candidate will have a strong understanding of the enterprise software landscape, experience leading complex transactions, and a proven track record of creating value through inorganic growth initiatives.
As our new Director of Corporate Development, you play a critical role in shaping and executing Celonis' future growth strategy.
The work you'll do:
- Partner with business unit leaders on strategy development, including identifying product gaps, evaluating build/buy/partner options
- Oversee all aspects of the M&A process, from sourcing, initial screening and due diligence to negotiation, closing, and integration.
- Source and screen targets per our identified target M&A themes and priorities
- Conduct deep due diligence on target, its market, management and customers in partnership with product and other cross-functional teams
- Structure and negotiate deal terms, including valuation, financing, and legal agreements.
- Prepare strategic deal memos and presentations to drive decision-making with executive management team and board of directors
- Manage the transaction process efficiently and effectively, coordinating and managing internal cross-functional due diligence team as well as target stakeholders and advisors
- Develop and implement integration plans to ensure the successful assimilation of acquired companies.
- Oversee and steer cross-functional teams to achieve synergy targets and realize the full value of acquisitions
- Contribute to improving the corporate development team by enhancing existing processes and recruiting and developing new team members.
The qualifications you need:
- 8+ years of experience in corporate development, investment banking, or a related field in or with exposure to enterprise software
- Undergraduate degree from a top-tier university in Finance, Economics, Mathematics, Engineering or similar discipline.
- MBA, CPA or CFA is desirable.
- Proven track record of leading and executing M&A transactions and strategic investments
- Excellent communication skills, both written and oral, including the ability to craft investment memos and presentations and present to executive management
- Strong financial modeling and valuation skills
- Excellent analytical and problem-solving skills with experience in building decision frameworks/models
- Ability to manage complex projects and work cross-functionality under pressure, while maintaining high attention to detail.

The base salary range below is for the role in the specified location, based on a Full Time Schedule.
Total compensation package will include base salary + bonus/commission + equity + benefits (health, dental, life, 401k, and paid time off). Please note that the base salary range is a guideline, and that the actual total compensation offer will be determined based on various factors, including, but not limited to, applicant's qualifications, skills, experiences, and location.
The base salary range below is for the role in New York, based on a Full Time Schedule.
$200,000—$260,000 USD
