Project-based Associate Attorney
Location: Han Kun - Silicon Valley Office, USA
Position Type: Project-based (Non-full-time)
Reports to: Partners / Project Leads of the Silicon Valley Office
Key Responsibilities
- Provide legal support on a project basis, primarily in U.S. corporate transactions, such as M&A, venture capital investment and financing, corporate structuring and formation, and advice on commercial contracts.
- Draft, review, and revise bilingual transactional documents and legal advice (English and Chinese).
- Support Chinese clients' cross-border projects involving U.S. legal frameworks, delivering practical and business-oriented legal advice.
- Participate in client meetings and negotiations, demonstrating strong bilingual communication skills.
- Collaborate closely with colleagues in the U.S., China, and other international offices to ensure smooth project execution.
Qualifications
- Bar Admission: Active license to practice law in California (California Bar Member in good standing).
- Experience: Minimum 3-4 years' corporate transaction experience at a U.S. office of an American law firm (ideally with big-law experience), with proven ability to manage legal tasks independently.
Professional Skills:
Solid deal experience of U.S. M&A, U.S. style venture capital investment and financing and other U.S. corporate transactions.
- Deed understanding of U.S. corporate law, contract law, and general business law.
- Experience with cross-border transactions or international clients preferred.

Key Responsibilities

Qualifications

Prior Big Law experience strongly preferred.
Demonstrated ability to independently run transactions.
Strong drafting, negotiation, and communication skills.
Experience working with international clients or cross-border transactions is a plus.
