Your Impact

The Corporate & Transactions Counsel will be responsible for supporting corporate governance, corporate and commercial transactions with key customers, partners and vendors and other transactions. Provide legal guidance for compliance with regulatory requirements, securities matters and operational requirements related to publicly traded organizations. The ideal candidate will have a strong background in corporate matters, transactional work and excellent negotiation and communication skills. They gain hands-on experience, develop legal skills, and grow within a collaborative and fast-paced environment.

What You'll Do
  • Corporate Governance: Supports senior management and General Counsel on board operations,  corporate governance matters. Drafts, reviews and updates corporate documents including bylaws, charters and Board of Director related documentation. 
  • Transactions and Negotiations: Drafts, negotiates and finalizes contracts for commercial transactions. Supports sales teams and commercial teams on software licensing terms, product sales agreements and related documentation. Maintains and updates templates as needed. 
  • Legal Research & Analysis: Advises on compliance with SEC regulations, privacy laws, and other relevant regulations and conducts thorough research on legal issues, case law, statutes, regulations, and other legal resources to support case preparation and client matters.
  • Contract templates:  Develops and maintains library of standardized contract templates and fallback clauses that align with Disco's business objectives, ensuring consistency and efficiency in contract drafting and negotiation
  • Risk Management:  Identifies legal risks and works with senior management on mitigation plans.  Support the monitoring and oversight of Compliance frameworks. 
  • Cross Functional Collaboration: Establishes and maintains strong relationships with key stakeholders, including business leaders, vendors, and partners, through effective communication and collaboration, resulting in improved collaboration, increased trust, and enhanced business outcomes.
 
Who You Are
  • J.D. (Juris Doctor) degree required from an accredited law school.
  • 2-4+ years of relevant legal experience , preferably in corporate law, securities law or commercial transactions. 
  • Experience with technology or software companies preferred.
  • Experience in drafting and negotiating legal documents, conducting thorough research on complex legal issues, and supporting senior attorneys in corporate matters.
  • Strong research, writing, and analytical skills.
  • Excellent attention to detail and organizational abilities.
  • Ability to work collaboratively in a team-oriented environment.
  • Effective oral and written communication skills.
  • Proficiency with legal research databases (e.g., Westlaw, LexisNexis) and Microsoft Office Suite.
