Assistant General Counsel

Provides professional legal services to the Company regarding complex commercial transactions and acquisition strategies, in areas such as construction, information technology, facilities, and workforce retention projects. Provides advice to Company departments to ensure compliance with law, and legal sufficiency of Company policies and activities; researches, drafts, and reviews legal documents related to the conduct of Company business. Operating under the BIW Business Operating System (BOS), the Assistant General Counsel for Commercial and Complex Matters, ensures compliance with safety, quality, and performance standards while coordinating with other key stakeholders to meet overall milestones.
Key Responsibilities- Safety Leadership
- Advise on Environmental, Health and Safety matters including OSHA compliance.
General understanding of risk management, risk allocation, insurance, and indemnification.
Project Execution
Negotiate, prepare, draft, and review agreements, proposals, letters of intent, licenses, cooperative agreements, construction contracts, commercial and residential leases, software licenses, maintenance and support agreements, and other legal documents and instruments.
- Perform legal research and prepares written memorandum and oral opinions on various legal issues.
- Analyze problems, identify alternative solutions, project consequences of proposed actions, and implement recommendations in support of goals.
Use strong organizational, analytical, and critical-thinking skills (root cause analysis, problem solving, issue spotting, and decision making).
Training and Development
Keep abreast of current legislative and regulatory developments that may have an impact upon operations, including updates to the FAR and DFARS.
- Review and understand Prime Contract obligations and assist in ensuring that such obligations are met in subcontracting documents, such as statements of work or requirements lists.
- Research, analyze, and prepare a wide variety of legal issues and draft documents.
- Prepare accurate and effective reports, policies, procedures, and other written materials.
May assist Department Heads and staff in establishing operational policies by developing and applying legal analysis; recommend changes to department policies and procedures to meet changing legal requirements.
Team Collaboration and Communication
Offer opinions as to legal adequacy and risk mitigation in various proposals and transactions.
- Recommend and review procurement approach, including contracting structure and negotiation strategies.
- Participate in corporate and other professional group meetings.
- Stay abreast of new trends and innovations in the law.
- Effectively represent the Company in meetings with governmental agencies, contractors, vendors, and various businesses, professional, and regulatory organizations.
- Engage effectively with the Navy Customer and Suppliers as needed.
- Work independently, yet exhibit team orientation, and exercise sound judgment in seeking guidance and direction from senior attorneys and escalating issues.
- Interpret/manage highly complex matters, often requiring research and engagement of or collaboration with outside counsel.
- Assist other attorneys on various matters, including those which present potential for litigation.
- Receive close or general directions from the General Counsel or Deputy General. Incumbent provides counsel and guidance regarding obligations (legal and contractual) associated with Company's provision or purchase of goods and/or services and to fulfill contractual obligations to the U.S. Navy.
May represent the Company in litigation including preparation of pleadings, briefs, and other litigation documents, court appearances, motion practice; partners with and supports outside counsel representing the Company.
Continuous Improvement
Monitor and analyze current legislation, regulations, administrative law and case law for impact on Company business and operations.
- Assist in resolution of defensive claims, responding to information requests, and participating in audits with US Navy, DCMA, DCAA and other prime contract customers.
- Determine alternative legal and administrative approaches to solving problems.
- Juris Doctor Degree from an accredited law school.
- Four (4) years of experience practicing law.
Required Experience / Licensure
- Knowledge of a variety of contract structures.
- Demonstrated experience with complex commercial transactions.
- Strong legal research and writing skills.
- Familiarity with the process of issuing solicitations and evaluating responses submitted in a competitive process;
- Understanding of federal, State, and local laws, statutes, and ordinances applicable to Company operations.
- Knowledge of court procedures and rules of evidence.
- Strong work ethic with the demonstrated ability to manage and handle a significant and diverse workload in an effective and timely manner.
- Possession of active law license from the State of Maine; or active law license from another U.S. jurisdiction and ability to secure active Maine Bar license within six months of hire.
- Possession of a valid Maine Driver's License.
Preferred Experience
- Experience in a law firm or in-house setting or other general practice experience.
- Knowledge of complex commercial transactions and applicable contractual structures.
- Knowledge of legal principles and procedures of government contracting, procurement, and fair competition.
- General understanding of risk management, risk allocation, insurance, and indemnification. An understanding of the government procurement process, particularly contract vehicle types and the requirements related to open and fair competition.
- Strong regulatory compliance background.
- Experience with some or all of the following engineering concepts, software or other technology, construction, real estate, facilities projects, employment and labor matters; or environmental, health, and safety matters.
- Ability to operate modern office equipment and specialized software application programs, including legal research tools.
