Corporate Counsel Role Summary

How will you make a difference?

The Corporate Counsel reports directly to the Executive Vice President, General Counsel and Secretary and serves as a key member of Wabtec's legal team.  This role is responsible for providing  general corporate legal guidance, supporting a wide range of corporate matters.

What do we want to know about you?

  • Juris Doctor (J.D.) degree and admission to the bar in at least one U.S. jurisdiction
  • Minimum of years legal experience including working in US public company law department and/or large multinational US based law firm
  • Demonstrated expertise in mergers and acquisitions, securities compliance
  • Excellent analytical, problem-solving, and communication skills, with the ability to translate complex legal concepts into practical business advice
  • Strong project management and organizational skills, with the ability to prioritize and manage multiple tasks and deadlines
  • Collaborative mindset and the ability to work effectively with cross-functional teams
  • Commitment to ethical and professional conduct, with a strong sense of integrity
  • Familiarity with ISS, Glass Lewis, and other proxy advisory firm policies and practices

What will your typical day look like?

  • Provide legal expertise and guidance on corporate governance matters, including:
  • Drafting and updating corporate policies, bylaws, and other constituent instruments
  • Advising on board and committee matters, including charter updates and compliance
  • Participating in the company's proxy preparation and shareholder proposal responses
  • Help lead the legal aspects of domestic and cross-border mergers, acquisitions, strategic initiatives, alliances, and joint ventures
  • Assist with compliance with securities laws, including filings, disclosures, and ongoing compliance
  • Assist with commercial transactions as needed
  • Review and provide guidance on investor relations (IR) disclosures
  • Assist with responses to activist investor activities
  • Participate in litigation and dispute resolution, including claims management
  • Provide legal support for real estate matters and enterprise risk management
  • Participate in the Disclosure Committee

Our job titles may span more than one career level. The salary range for this role is between

$161,300.00-$229,800.00

The actual salary offered to a candidate may be influenced by a variety of factors, such as: training, transferable skills, work experience, education, business needs, market demands and work location. The base pay range is subject to change and may be modified in the future.
